Financial performance and position

Operating loss$(766)$(1,599)
Net loss$(2,229)$(1,323)
Net loss per share$(0.03)$(0.03)

  • Revenue rose 43.4%: TOS revenue increased 101.9% to $2,398, while POS revenue fell 32.2% to $622. TOS represented 79.4% of revenue.
  • Management reported POS gross margin of (27.5%), versus 16% a year earlier, and TOS gross margin of 63.4%, versus 41%. It attributed the TOS improvement to higher revenue spreading fixed costs and costs associated with the quarter’s revenue having been absorbed in prior quarters.
  • Total costs and operating expenses increased 2.2% to $3,786. Research and development was $402; sales and marketing was $642; general and administrative was $1,071.
  • Net loss increased despite the smaller operating loss, primarily because the company recorded a $1,462 noncash expense from revaluing warrant liabilities; the prior-year quarter recorded $285 of warrant-related income. The warrant liability rose to $2,508 from $1,046.
  • Cash declined by $2,196 during the quarter. Operating cash use was $2,144, investing cash use was $40, and financing cash flow was nil. Accounts receivable increased to $1,784 from $500.
  • At July 31, current assets were $9,404 and current liabilities $2,175; working capital was reported as $7.2 million. Total liabilities were $4,683. The filing reports no off-balance-sheet debt or similar obligations; it does not show conventional borrowings on the balance sheet.
  • Stockholders’ deficit was $10,895. The balance sheet included $16,882 of redeemable common stock, associated with investor put rights under prior private placements. Common shares outstanding were reported as 66,852,100 at August 31, 2013.

Changes, outlook, and risks

  • Management said POS revenue declined as the business shifted focus toward core implants and drug studies; it cited fewer panels completed, three versus ten in the comparable quarter. The company had lowered POS product prices to encourage volume and expand its TumorBank.
  • Management said it was assessing options to increase laboratory capacity to meet expected demand. No numerical revenue, earnings, or cash-flow guidance was provided. It believed July 31 cash would fund operations for at least the next 12 months, while cautioning that additional capital might not be available on acceptable terms, or at all.
  • On July 30, 2013, the company entered a new agreement with Teva for TumorGraft studies on multiple compounds, replacing its prior Cephalon collaboration. The agreement provides for an upfront payment and potential milestone and royalty payments, but the filing text does not provide clear amounts for the new agreement. A prior Cephalon agreement had potential milestones of up to $27 million per compound; one compound was settled for an $880 payment in fiscal 2013, while the other remained under evaluation.
  • Warrants issued in private placements have exercise-price reset provisions and are measured as a liability using Level 3 valuation inputs. Their fair-value changes can materially affect reported earnings without affecting cash. Certain investors also have cash redemption rights upon specified change-of-control or asset-sale events; the shares are therefore presented as temporary equity.
  • Registration-rights agreements could require cash penalties if specified registration requirements are not met. The company said such penalties were not probable and had not been accrued. It also disclosed potential development milestone payments of up to $3.0 million under a drug license, but said milestones were not expected within the next 12 months.
  • The company reported no current legal proceedings, no material changes to previously disclosed risk factors, and effective disclosure controls at quarter end. Its forward-looking statements are subject to risks and uncertainties, and the filing provides no quantified outlook beyond the cash-runway statement.

Investor verification priorities

  • Reconcile the cash-flow statement’s reported net loss of $2,232 with the income statement’s net loss of $2,229.
  • Track cash burn, collections, and the sharp increase in accounts receivable against management’s stated minimum 12-month cash runway.
  • Review warrant valuation assumptions, potential dilution, private-placement redemption rights, and any registration-default exposure.
  • Assess whether POS volumes and margins improve under the revised pricing strategy, and whether TOS growth and margins are sustainable.
  • Confirm the economics and payment terms of the new Teva agreement as further disclosures become available.
