Revenue growth reflected higher BMS collaboration revenue, including progress on existing targets; two Astellas milestones totaling $10.0 million; and increased Regeneron and Moderna research activity. The prior-year quarter included $4.0 million from AbbVie, whose agreement had ended.

At March 31, 2024, cash and cash equivalents were $36.2 million and short-term investments were $114.1 million, totaling $150.3 million. Total current assets were $167.2 million and current liabilities $144.5 million. Total liabilities were $216.4 million; stockholders’ deficit was $31.7 million. The filing presents no financial-debt balance. Deferred revenue was $183.4 million, down from $212.3 million at year-end 2023. No gross margin is reported; the company has no product sales.

Operating cash use reflected a $28.9 million reduction in deferred revenue and a $9.7 million increase in accounts receivable, including $10.0 million of Astellas milestones earned but not collected by quarter-end. Investing activities provided $44.9 million, principally from investment maturities; financing activities provided $0.2 million from option exercises.

Material changes and business developments

  • Revenue increased 76% year over year, and the company moved from an operating loss and net loss to operating and net income.
  • R&D expense increased $0.9 million, principally with activity on CX-904, CX-2051 and other programs; lower CX-801 manufacturing and winding down CX-2009/CX-2029 activity partly offset the increase. G&A expense declined $0.2 million, mainly due to a partial headquarters sublease.
  • BMS notified CytomX in March that it would not continue BMS-986288 beyond the ongoing Phase 2 study and terminated its CTLA-4 collaboration license. Approximately $1.8 billion of potential BMS milestones remained contingent and fully constrained from revenue recognition.
  • Astellas milestones of $10.0 million were earned in March and collected in April. The company also reported approximately $4.8 million of net proceeds from an April at-the-market stock sale and a May 1 exercise by BVF of warrants for 7.5 million shares.

Outlook, clinical progress and risks

Management expects existing capital resources to fund planned operations through the end of 2025, but says additional funding will be needed in the future and may not be available on acceptable terms or at all. Spending plans may need to be reduced if operating results or financing do not meet expectations. No revenue or earnings guidance is provided.

  • CX-904: In a May 8, 2024 update, after the quarter, CytomX reported preliminary Phase 1a data from 35 patients. At the April 16 cutoff, two of six efficacy-evaluable pancreatic cancer patients had confirmed partial responses; the company reported no CRS in step-dosing cohorts at that cutoff. Dose escalation continues; another update was expected by year-end 2024. The data are preliminary and may change.
  • CX-2051: The FDA cleared its IND in January; Phase 1 initiation in EpCAM-expressing solid tumors began in April. The filing reports prior manufacturing production failures at a contractor beginning in October 2023 and warns of possible supply and timeline impacts.
  • CX-801: The FDA cleared its IND in January; Phase 1 initiation was expected in the first half of 2024. On May 7, CytomX announced a clinical collaboration with Merck to evaluate CX-801 with KEYTRUDA.
  • CX-2029: CytomX regained worldwide rights but decided not to make further substantial near-term investment, while retaining strategic interest in the CD71 target.

Key risks include clinical failure, safety or enrollment issues, dependence on collaborators and third-party manufacturers, possible supply disruption (including reliance on a manufacturer in China), and the need for additional capital. A California proposed tax assessment for 2017–2018 is under protest; the company recorded $3.9 million for the uncertain tax position, penalties and interest. A Vytacera patent suit seeking unspecified damages remains stayed pending a judge’s ruling on a magistrate’s recommendation to dismiss; CytomX recorded no contingency liability and considers the suit without merit. Management reported effective disclosure controls at March 31, 2024.

Investor verification priorities

  • Confirm cash runway assumptions and future financing needs, including the effect of subsequent ATM proceeds and warrant exercises and potential further dilution.
  • Track operating cash burn, receivable collection and the pace at which deferred collaboration revenue is recognized.
  • Review updated CX-904 safety and efficacy data, especially as enrollment and dose escalation continue; treat the reported responses as preliminary.
  • Monitor CX-2051 manufacturing reliability and clinical progress, CX-801 trial initiation, and partner decisions affecting collaboration programs.
  • Follow resolution of the California tax assessment and Vytacera litigation, and assess whether either changes the company’s financial exposure.
