- Revenue fell $40.0 million, or 18.2%. North American MD/HD truck OEM revenue declined $28.7 million; construction revenue fell $10.8 million. Foreign currency translation reduced revenue by approximately $1.9 million.
- Gross margin improved to 14.3% from 13.2%, which management attributed to cost discipline, but lower sales volume reduced gross profit. SG&A declined 4.3% to $16.8 million, partly offset by a $0.6 million impairment of an asset held for sale and $0.1 million in severance costs.
- Operating cash flow was lower year over year, primarily due to greater cash use for working capital. Cash increased $5.6 million to $97.8 million during the quarter.
- At March 31, cash was $97.8 million and current assets and liabilities were $315.4 million and $113.7 million, respectively. Long-term debt carrying value was $232.6 million; principal outstanding on the 7.875% notes was $235.0 million, due April 2019. Stockholders’ equity was $69.6 million.
- The $40 million revolving facility had no borrowings, $2.5 million of letters of credit outstanding, and $37.5 million of reported availability. The company said it was in compliance with debt covenants; the fixed-charge coverage test was not required while availability exceeded $7.5 million.
Material changes and segment results
- GTB revenue decreased 20.2% to $116.5 million, mainly because North American truck OEM revenue fell 28.0%. Segment operating income was $11.0 million, versus $14.1 million; gross margin improved to 15.3% from 14.6%.
- GCA revenue decreased 15.6% to $65.8 million, reflecting weaker construction and agriculture demand and adverse currency translation. Segment operating income increased to $3.8 million from $3.6 million; gross margin rose to 12.6% from 11.1%.
- Net income declined to $2.6 million from $3.6 million, despite lower interest expense and taxes. Other comprehensive income was $0.4 million, compared with a $2.9 million loss in Q1 2015, largely reflecting the change in currency translation.
Outlook, risks, and unusual items
- Management cited expected softness in global construction and agriculture markets. It expected 2016 North American Class 8 production of 230,000–250,000 vehicles and Class 5–7 production to be relatively stable; these are industry-based expectations, not company revenue or earnings guidance.
- The restructuring plan, begun in late 2015 and expected to continue through 2017, is projected to reduce annual operating costs by $8–$12 million when fully implemented. Management estimated total plan costs and associated capital investment of $10–$14 million; 2016 capital expenditures were forecast at $15–$18 million.
- On May 2, 2016, CVG announced plans, subject to union negotiations, to consolidate North American seat production into two facilities and cease production at Piedmont, Alabama. It anticipated $3–$4 million of related charges from Q2 through Q4 2016.
- Q1 included a $0.6 million impairment charge on an asset held for sale. CVG also recorded $0.6 million of equipment-held-for-sale impairment in its cash flow reconciliation. Restructuring costs were recorded in the quarter.
- Management believed cash, operating cash flow, and available revolver capacity would fund working capital, planned capital spending, and debt service for at least 12 months, but cautioned that this was not assured. Risks include cyclical vehicle demand, lower customer production, customer or platform losses, currency exposure, restructuring execution, and possible covenant pressure if forecasts or cost savings are not achieved.
- Ordinary-course legal claims and proceedings were disclosed; management did not expect them to have a material adverse effect, while noting outcomes are uncertain. No material changes to previously reported risk factors or market risks were identified. Disclosure controls were judged effective at quarter-end.
Important facts for investors to verify
- Whether North American truck and global construction/agriculture demand stabilizes, and how lower volumes affect margins and cash generation.
- Progress, total costs, timing, and realized savings from the restructuring, including the Piedmont closure and seat-production transfers.
- Operating cash flow and working-capital trends, planned capital spending, and the availability of cash held by foreign subsidiaries; $28.6 million was held abroad and CVG did not intend to repatriate it.
- Debt-service capacity and covenant headroom, particularly if borrowing availability falls below the $7.5 million threshold that activates the fixed-charge coverage test.
- Actual performance against management’s liquidity outlook and industry production assumptions; the filing provides no specific company revenue or earnings guidance.
