Financial position, liquidity and credit
- At September 30, total assets were $1.310 billion, down from $1.324 billion at year-end 2011. Net loans were $690.4 million, down from $700.6 million; deposits were $1.013 billion, down from $1.018 billion.
- Short- and long-term borrowings totaled $109.6 million, down from $130.3 million. Stockholders’ equity was $180.1 million, up from $167.4 million.
- Management reported $388.0 million of available credit facilities and $221.7 million of available-for-sale securities beyond amounts needed for pledging or repurchase obligations. It stated that the company was well positioned to meet obligations.
- Consolidated regulatory capital ratios were 22.98% total risk-based capital, 21.74% Tier 1 risk-based capital and 12.03% Tier 1 capital to average assets. Management said the company and bank met capital requirements and expected to remain above well-capitalized standards.
- The allowance for loan losses was $7.79 million, or 1.12% of loans, versus $7.71 million, or 1.09%, at year-end. Nonperforming loans rose to $9.53 million (1.36% of loans) from $8.46 million (1.19%); nonperforming assets were $10.37 million (0.79% of assets), versus $9.70 million (0.73%). Allowance coverage of nonperforming loans declined to 81.77% from 91.03%.
- Loans are concentrated in the company’s Pennsylvania and New York service area, making repayment dependent in part on local economic conditions. Residential mortgages represented about 56% of loans; approximately 70% of commercial loans were secured by real estate.
Changes, outlook and risks
- Lower funding costs supported year-to-date net interest income, but management said asset yields—particularly on loans and securities—fell faster than funding costs in Q2 and Q3, pressuring the margin. Loan balances contracted amid prepayments, refinancing and modest new-loan demand; mortgage originations sold into the secondary market contributed higher gains.
- The $12 million Q3 repayment of long-term repurchase-agreement principal generated the $2.19 million charge. Management estimated the transaction would benefit future net interest margin by about 0.05% over the next several quarters.
- Credit indicators were mixed: 30–89-day past-due loans declined from year-end, while loans 90 days or more past due and still accruing rose to $2.26 million from $1.27 million, mainly in residential mortgages. Management considered those accruing loans well secured and in collection. One commercial construction loan modified previously defaulted; its allowance was $277,000.
- The remaining pooled trust-preferred security was valued using Level 3 discounted-cash-flow estimates and sensitive assumptions about defaults, deferrals, prepayments and discount rates. Management judged its impairment temporary. The filing also identifies interest-rate and securities-price risk; a modeled immediate 400-basis-point rate increase implied a 19% decline in one-year net interest income, within the company’s stated policy limit.
- Management gave no specific earnings or revenue guidance. It said planned capital expenditures were not expected to materially harm financial condition or capital ratios. Forward-looking results remain subject to interest-rate and economic changes, regulation, competition, technology costs and demand for banking services. Management reported no material change in previously disclosed risk factors; pending legal proceedings were not expected to have a material adverse effect.
- Disclosure controls were assessed as effective, with no significant change in internal control over financial reporting during the period.
