Revenue, segments and margins

  • Quarterly IoT Products & Services revenue was $83.4 million, down 2.9%. Lower Console Server and Cellular product volume was partly offset by OEM growth and $2.1 million of service revenue growth. Segment gross margin was 54.0%, down 90 basis points.
  • Quarterly IoT Solutions revenue was $24.3 million, down 3.7%. Lower one-time services and hardware revenue was partly offset by recurring revenue growth. Segment gross margin rose to 71.0% from 62.4%, primarily due to higher-margin ARR subscription revenue. The segment reported a $5.5 million operating loss, versus a $0.8 million loss.
  • Product revenue for the quarter was $78.4 million, down from $83.8 million; service revenue was $29.3 million, up from $27.3 million. Revenue recognized over time increased to $27.1 million from $24.1 million.

Cash flow, liquidity and debt

  • Cash from operations for the first six months was $31.7 million, versus $9.6 million a year earlier. The increase reflected, among other items, working-capital movements and noncash adjustments for the debt-cost write-off and litigation accrual; operating cash flow should be considered in light of these items.
  • Investing activities provided $1.4 million, including $2.2 million of proceeds from asset sales. Financing activities used $42.7 million, including debt repayments and refinancing activity. Cash declined $7.9 million to $23.8 million from September 30, 2023.
  • At March 31, long-term debt was $173.0 million gross ($171.8 million net of issuance costs), with no current portion reported. The debt is outstanding under a $250 million senior secured revolving facility maturing December 7, 2028. The weighted-average interest rate was 7.92%; borrowings are variable-rate.
  • The facility requires minimum interest coverage of 3.00-to-1.00 and generally limits total net leverage to 3.00-to-1.00, subject to specified terms and exceptions. Management believes cash, operating cash generation and borrowing availability will fund operations and capital expenditures for the next 12 months and beyond.

Outlook, contingencies and notable items

  • Management gave no specific numerical revenue or earnings guidance in the supplied filing text. It said longer-than-expected sales cycles for significant contracts and projects, which it associates with macroeconomic conditions, are expected to adversely affect results in the second half of fiscal 2024; timing of a return to normal sales cycles is uncertain.
  • A jury found Digi liable for breach of contract in the Data Logger Solutions matter and awarded approximately $11.6 million, plus statutory interest. Post-trial motions are pending: Digi seeks a new trial or reduced damages, while plaintiffs seek additional attorney fees and interest. Digi accrued $6.3 million as its estimate of probable loss; ultimate exposure may differ materially and the outcome and timing are uncertain.
  • Quarterly operating expenses included the litigation accrual, partly offset by a $2.1 million gain on sale of an intangible asset. Six-month other expense included the $9.7 million debt issuance-cost write-off related to refinancing.
  • The company disclosed an immaterial prior-period segment-reporting error involving allocation and presentation of unallocated segment expenses. It said the error did not affect consolidated financial statements, and prior-period segment disclosures will be corrected in future filings.
  • Risks highlighted include macroeconomic uncertainty and sales-cycle delays, cybersecurity and data security, competition and technology change, supply-chain disruption, litigation, acquisition integration, and exposure to variable interest rates. A 25-basis-point rate change was estimated to affect annualized interest expense by approximately $0.4 million.

Important facts for investors to verify

  • Track post-trial rulings, appeals, interest and fee claims in the Data Logger case, and compare eventual exposure with the $6.3 million accrual.
  • Monitor sales-cycle trends and whether ARR growth converts into recognized revenue and cash flow, particularly in the second half of fiscal 2024.
  • Review variable-rate debt costs, facility covenant headroom and refinancing or repayment capacity as interest rates and operating results change.
  • Assess the quality and repeatability of operating cash flow, given working-capital effects and noncash litigation and refinancing adjustments.
  • Check future filings for the promised corrections to prior-period segment disclosures and for any material change in goodwill impairment assumptions.
