- Segments: Second-quarter IoT Products & Services revenue declined 1.9% to $65.6 million; segment operating income fell to $4.6 million from $8.4 million. IoT Solutions revenue rose 78.0% to $11.7 million, and its operating loss narrowed to $1.2 million from $4.6 million. Solutions growth reflected installations and subscription revenue; the segment served nearly 77,000 sites at quarter-end.
- Non-GAAP measures: Adjusted net income was $8.6 million, or $0.27 per diluted share, versus $7.5 million, or $0.25. Adjusted EBITDA was $11.7 million, or 15.1% of revenue, versus $10.8 million, or 14.7%. These are management-defined non-GAAP measures, not substitutes for GAAP results.
- Cash flow and liquidity: Six-month operating cash flow was $21.3 million, compared with cash used of $12.7 million. Cash and equivalents were $127.2 million at March 31, versus $54.1 million at September 30, 2020. Management attributed the cash-flow improvement mainly to receivables collections and working-capital changes.
- Debt: Long-term debt was $48.1 million gross and $45.5 million net of unamortized issuance costs. A new $200 million secured revolving facility replaced the prior facility and remaining term loan; $151.9 million was available at quarter-end. The facility matures March 15, 2026. Digi reported compliance with its covenants.
Material changes and unusual items
- Digi acquired Haxiot, an LPWA wireless technology provider, on March 26 for $7.1 million cash and recorded a preliminary $8.0 million maximum contingent consideration liability. The purchase-price allocation remained in process; the acquisition’s March impact was immaterial.
- A March public offering of 4.025 million shares generated $73.8 million net proceeds, contributing substantially to the increase in cash and shareholders’ equity.
- Operating expenses rose 6.2% in the quarter, including higher compensation and acquisition-related professional fees; lower travel costs partly offset the increase. Product-segment margins faced higher material overhead tied to supply constraints.
- Six-month results included a $5.8 million increase in the fair value of contingent consideration, primarily associated with acquisition earn-out estimates. Digi also recorded $0.9 million of restructuring charges in the first half and eliminated 19 positions under a reorganization.
- The second-quarter income tax expense was $0.3 million; the six-month period recorded a $0.2 million tax benefit, including discrete stock-compensation tax benefits.
- A Canadian product-related lawsuit was settled with no payment by Digi; the company agreed to provide reduced pricing on a limited number of products for an amount substantially below the claim.
Outlook, commentary and risks
The filing provides no specific quantitative revenue or earnings guidance. Management expects positive operating cash flow and believes cash, operating cash generation and borrowing availability will fund operations and capital expenditures for the next 12 months and beyond. It cited continued SmartSense growth, IoT Products & Services growth through new products and recurring revenue, and strategic acquisitions as fiscal 2021 objectives.
Management said the duration and financial impact of COVID-19 remain uncertain. More recently, component shortages, longer lead times and higher procurement and shipping costs have emerged; Digi expects some negative effect on operating results, but the severity and duration are unclear and could potentially be material. Other disclosed risks include supplier concentration, competition, technology changes, customer demand, acquisition integration and foreign-exchange and interest-rate exposure. A 25-basis-point interest-rate change was estimated to affect annual interest expense by about $0.1 million.
Investor verification priorities
- Track whether component availability, lead times, freight costs and resulting product margins improve or worsen.
- Verify IoT Solutions growth, recurring subscription revenue and progress toward segment profitability.
- Review Haxiot’s final purchase-price allocation and performance-based earn-out exposure, and assess acquisition returns.
- Monitor cash generation, receivables, debt utilization, variable-rate exposure and covenant compliance.
- Reconcile GAAP earnings with adjusted measures, especially acquisition-related costs, contingent-consideration remeasurement, amortization and stock compensation.
