  • Revenue: Q2 revenue was $687.7 million, up 11% year over year; subscription revenue was $669.4 million, also up 11%. For the six months, revenue was $1.349 billion, up 11%. Subscription revenue contributed 97% of revenue.
  • Profit and margins: Q2 GAAP gross margin was 79%, versus 78% a year earlier. Six-month operating income was $2.0 million and net income was $7.9 million, versus losses of $60.3 million and $72.5 million, respectively.
  • Non-GAAP measures: Q2 non-GAAP operating income was $169.9 million (25% margin) and non-GAAP net income was $149.6 million. These measures exclude significant items, particularly stock-based compensation; GAAP stock-based compensation expense was $151.7 million in Q2.
  • Cash flow: Q2 operating cash flow was $211.0 million and free cash flow was $183.6 million. For six months, operating cash flow was $444.7 million and free cash flow was $398.2 million, up from $317.2 million and $280.1 million, respectively, in the prior-year period.
  • Liquidity and debt: At July 31, cash and cash equivalents were $1.018 billion, with $511.5 million of investments; total cash, cash equivalents and investments were approximately $1.5 billion. Convertible notes had $727.1 million aggregate principal outstanding: $37.1 million due September 15, 2023 and $690.0 million due January 15, 2024. The $500 million revolving facility had no borrowings, and the company reported covenant compliance.
  • Other indicators: Remaining performance obligations for contracts longer than one year were $1.9 billion; 59% was expected to be recognized in the following 12 months. Billings were $711.2 million in Q2 and $1.386 billion for six months, up 10% and 10%, respectively, year over year.

Material changes versus prior year

  • Revenue grew 11% in both the quarter and first half. Management attributed subscription growth to customer additions, expansion within existing customers, and commercial and enterprise sales.
  • Sales and marketing expense declined 9% in Q2 and 8% for six months, primarily reflecting restructuring-related headcount reductions and lower paid-media spending. Research and development expense rose 7% in Q2.
  • General and administrative expense increased 36% in Q2 and 50% for six months, principally due to stock-based compensation, personnel costs, and professional fees.
  • Six-month results included $29.6 million of restructuring charges, mainly employee termination benefits; the 2024 restructuring plan was substantially completed by July 31. Interest income and other income rose materially, in part because of higher interest rates, supporting reported pretax income.

Outlook, risks and unusual items

  • The filing provides no specific revenue, margin, or earnings guidance. Management said existing cash, investments, expected operating cash flows, and available credit were expected to meet working-capital and capital-expenditure needs for at least 12 months and address upcoming note maturities. It also cautioned that it expects operating losses may continue as it invests in the business.
  • Key risks include customer retention and expansion, competition and pricing, macroeconomic and IT-spending conditions, cybersecurity and service availability, privacy and regulatory compliance, international execution, and the ability to sustain profitability. The company also flagged generative AI as a potential source of both product opportunity and competitive disruption.
  • Commitments include $139.2 million of noncancellable minimum payments with remaining terms over one year, plus a separate remaining cloud-provider commitment of $143.4 million through fiscal 2028. The company reported no off-balance-sheet financing arrangements.
  • A securities class action alleging misleading statements about the business and prospects was proceeding after the court denied a motion to dismiss. Related derivative cases were stayed. Former CEO Daniel Springer’s arbitration claims remained in discovery; a separate motion concerning attorneys’ fees was pending.
  • In September 2023, the board authorized an additional stock-repurchase amount of up to $300 million. This followed $70.5 million of repurchases in the first half. Management reported disclosure controls were effective and no material second-quarter changes in internal control over financial reporting.
