Enphase Energy, Inc. — Q3 2021 Form 10-Q

Reporting period: Three and nine months ended September 30, 2021. Unaudited results; the company designs and sells solar microinverters, storage, and related energy-management solutions.

Financial performance and position

Revenue$351.5 million$178.5 million$969.3 million$509.6 million

Revenue increased 97% in Q3 and 90% year to date. Management attributed growth primarily to higher microinverter shipments, improved product and customer mix, higher average selling prices, and increased Encharge storage shipments. Units shipped were 2.6 million for Q3 versus 1.4 million, and approximately 7.4 million year to date versus 4.5 million.

Gross margin fell year over year, particularly in Q3. The filing cites higher expedited freight and component costs amid semiconductor supply constraints, as well as the prior-year benefit of $23.0 million in tariff refunds. Cost reductions and favorable pricing/mix partly offset these pressures. Operating expenses increased substantially, including higher personnel and stock-based compensation, product-development spending, customer support, and growth-related costs.

Nine-month operating cash flow was $254.9 million, compared with $132.2 million in 2020. Investing cash flow was negative $663.0 million, including $545.5 million of marketable-security purchases, $58.0 million of private debt-security investments, acquisitions, and capital spending. Financing cash flow was positive $615.6 million, mainly reflecting convertible-note issuance and warrant proceeds, offset in part by note hedges, debt settlements, and a $200.0 million share repurchase.

At September 30, 2021, cash and cash equivalents were $885.5 million and marketable securities were $508.6 million; working capital was approximately $1.4 billion. Management said available liquidity and operating cash flow should meet anticipated needs for at least 12 months and thereafter for the foreseeable future. Debt carrying value was $1.026 billion, including $940.2 million classified as noncurrent. The company issued $1.15 billion principal of 0% convertible notes due 2026 and 2028, plus $57.5 million of additional 2026 notes; it also repurchased or settled portions of older notes.

Material changes and unusual items

  • Q3 net income declined despite nearly doubling revenue, as gross margin contracted and operating expenses rose.
  • Nine-month results included $56.4 million of losses on partial convertible-note settlements and repurchases. The nine-month tax benefit of $22.5 million also materially affected net income.
  • Stock-based compensation rose to $77.1 million for the first nine months, from $34.2 million. The company reported $232.5 million of unrecognized compensation cost expected to be recognized over a weighted-average 2.3 years.
  • The company acquired Sofdesk and DIN’s solar design services business, adding software and design services capabilities. Purchase accounting and some contingent or employment-related payments remain subject to estimates or conditions.
  • Warranty obligations totaled $67.5 million, up from $45.9 million at year-end 2020. Nine-month warranty expense from changes in estimates was $15.5 million, including costs related to prior-generation product performance and replacement-cost assumptions.

Outlook, risks, and contingencies

The filing does not provide a specific financial forecast or quantified forward guidance. Management described plans for product expansion, including IQ8 solar microinverters and additional storage capabilities; it expected to begin pilot shipments of IQ8D in Q4 2021 and production shipments in Q1 2022. These are forward-looking plans, not reported results.

Management highlighted semiconductor supply and logistics constraints, higher freight and component costs, COVID-19 uncertainty, demand and payment risks, and tariffs on certain imported products. The Section 301 tariff exclusion for certain Chinese microinverters expired in August 2020; tariffs continued to apply to covered products and certain storage, communications, and accessory products. Purchase obligations for components were approximately $247.5 million.

The company said it was not party to legal matters expected to have a material adverse effect on its financial position, results, or cash flows. The securities class action was dismissed with prejudice in October 2021. Consolidated shareholder derivative litigation and books-and-records demands remained subject to uncertainty. Management reported disclosure controls were effective at the reasonable-assurance level and no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether semiconductor availability, freight rates, component costs, and tariffs continue to pressure gross margin.
  • Conversion, settlement, and potential dilution terms for the convertible notes and related hedge and warrant transactions; the remaining 2025 notes were convertible at holders’ option through year-end 2021.
  • Cash conversion and working-capital trends, including receivables, inventory, deferred revenue, and the large securities portfolio.
  • Warranty claims and estimates, especially costs associated with prior-generation products.
  • Execution and economics of the Sofdesk and DIN acquisitions, product launches, and the remaining $500 million share-repurchase authorization.
