Changes and operating drivers

  • Year-over-year sales weakness primarily reflected softer semiconductor-industry spending. Management described industry demand as mixed: leading-edge fabs were strong, but aggregate utilization remained below peak levels.
  • Currency translation, primarily the weaker Japanese yen, reduced sales by $4.8 million in Q2 and $7.9 million in the first half. Excluding currency effects, sales declined 3% and 4%, respectively.
  • Q2 segment sales/profit: Contamination Control Solutions (CCS) $114.6 million/$28.6 million; Microenvironments (ME) $45.9 million/$9.4 million; Specialty Materials (SMD) $17.0 million/$1.9 million. CCS and SMD sales and profits declined year over year; ME improved. SMD was affected by lower demand for high-margin coated products.
  • Lower factory utilization and a less favorable sales mix weighed on year-over-year gross margin. Lower sales drove lower profit, partly offset by reduced SG&A and a lower tax rate. Six-month net income was down from $39.5 million to $36.2 million.

Outlook, risks, and notable items

  • Management expected 2013 capital expenditures of approximately $60–$70 million, including about $40 million to complete a 450mm technology center and an advanced membrane and coatings facility. Capital purchase obligations were $20.4 million at June 29; the credit facility restricts annual capital expenditures to $85 million.
  • Management believed cash, available credit, and operating cash flow would meet working-capital and investment needs for at least the next 12 months. About $140.2 million of cash was associated with foreign earnings considered indefinitely reinvested; repatriation may incur U.S. tax.
  • On April 1, Entegris acquired Jetalon’s operating assets for $13.4 million cash plus contingent consideration of up to $14.5 million. A $3.1 million fair-value liability was recorded; the purchase-price allocation remained preliminary for certain intangible assets and contingent consideration.
  • The first-half effective tax rate was 26.0%, versus 33.2% a year earlier; 2013 included a $1.3 million research-credit benefit. Q2 SG&A also included a $0.7 million reduction related to selling a building; sale proceeds were $6.5 million.
  • Key risks include semiconductor-industry cyclicality, pricing and competition, fixed-cost absorption, foreign-exchange movements, and manufacturing and international risks. Ordinary-course legal matters were not expected by the company to have a material adverse effect. Management reported effective disclosure controls and no material quarterly change in internal control over financial reporting.

Important facts for investors to verify

  • Whether semiconductor demand, utilization, and sequential sales improvement persisted after quarter-end, particularly in CCS and SMD.
  • How much of reported sales and margin trends reflected currency, mix, and factory utilization, and whether the weaker yen continued to affect results.
  • Actual capital spending against the $60–$70 million outlook, completion costs for planned facilities, and the $20.4 million purchase obligations.
  • Final Jetalon intangible-asset valuations, subsequent contingent-consideration estimates, and the acquired business’s contribution.
  • Cash-flow conversion and working-capital trends, including receivables and days sales outstanding, which rose to 56 days from 51 at year-end.
  • Progress and remaining authorization under the 2013 share-repurchase program, and the availability and tax implications of foreign cash.
