Product sales and royalties were $2,176, comprising $2,153 of product sales and $23 of royalty revenue. There was no licensing revenue in Q1 2022. The reported gross margin is calculated from reported gross profit and revenue.

Operating cash flow included a $4,675 decrease in accounts receivable, principally reflecting collection of the $5,000 Azurity milestone receivable related to Eprontia’s December 2021 launch. Investing cash outflow was $15; financing cash outflow was $385, including a loan principal payment. Cash increased by $823 during the quarter.

Material changes versus Q1 2021

  • Revenue fell $9,721, primarily because Q1 2021 included $11,000 of Azurity and Bausch milestone revenue; Q1 2022 revenue was principally product sales and royalties.
  • Gross profit declined $8,849, while gross margin decreased to 67.0% from 86.6%, reflecting the different revenue mix and absence of the prior-year licensing milestone revenue.
  • Operating expenses increased $1,601. R&D rose $732 to $1,618, mainly due to a $500 Crossject technical-batch milestone for the ZENEO hydrocortisone autoinjector and other development work. G&A rose $869 to $4,927, mainly from compensation and legal expenses for the L-Cysteine Paragraph IV patent challenge, partly offset by lower Alkindi marketing expense.
  • The company moved from net income of $5,116 to a net loss of $5,330. Despite the loss, operating cash flow remained positive, but was lower than the prior-year quarter.

Outlook, risks, and unusual items

  • Management said existing cash, product revenues, and additional milestone payments expected in 2022 should fund operations and capital needs for at least 12 months from the filing. This is based on assumptions about sales and spending; the company cautioned that it could use capital sooner and might need additional financing, which may not be available on acceptable terms.
  • On April 5, 2022, after quarter-end, Eton amended its SWK credit agreement. The amendment deferred principal payments until May 2023 and reduced the interest rate from three-month LIBOR plus 10% to LIBOR plus 8%, subject to a 2% floor. Accordingly, all loan principal was classified as long-term at March 31. The stated net debt carrying amount was $6,331; gross principal was $6,615.
  • Product development and regulatory approval remain uncertain. The company cited potential delays in product sales growth, development, and approvals as factors that could require spending reductions or additional financing. It expects to submit an NDA for ZENEO in 2023 and may owe up to $4,000 in additional development milestones and $6,000 in commercial milestones, plus royalties.
  • Eton had recognized $17,000 in cumulative milestones for the three pediatric neurology products sold to Azurity and may receive up to $25,000 in additional milestones tied to approvals and future sales. These amounts are contingent, not guaranteed.
  • Biorphen sales are subject to estimated returns, chargebacks, discounts, and distribution fees; actual adjustments could affect revenue and earnings. Inventory was reported net of a $1,284 reserve for Biorphen expiry risk.
  • The company reported no pending or threatened litigation matters it believed could materially affect operations and stated that it had no off-balance-sheet transactions. Disclosure controls were concluded effective, with no material change in internal control reported.

Important facts for investors to verify

  • Whether product sales and royalties can grow enough to offset the loss of milestone-driven revenue and ongoing operating expenses.
  • Cash runway assumptions, expected 2022 milestone receipts, and the timing and collectability of product and milestone receivables.
  • Commercial traction and economics for Rezipres, Carglumic Acid, Alkindi Sprinkle, and other launched products, including partner profit shares and royalties.
  • Progress, regulatory timing, and remaining milestone costs for ZENEO and other development candidates, as well as the possibility of further financing needs.
  • The amended SWK loan terms, repayment schedule, covenants, and interest exposure, together with Biorphen inventory expiry reserves and sales-return estimates.
