  • Cash and cash equivalents were $17,046 at June 30, 2022, versus $14,406 at year-end 2021. Working capital was $16.0 million; total assets were $23.0 million.

  • Debt carrying value was approximately $6.4 million, including $364 current and $5,992 long-term. The SWK loan amendment deferred principal payments until May 2023 and reduced the rate to three-month LIBOR plus 8%, subject to a 2% floor. The loan is secured and includes covenants.

Material changes and unusual items

  • Compared with Q2 2021, revenue more than doubled, while gross margin declined, reflecting a different revenue mix and related costs. Q2 2022 included $5.0 million from the Dr. Reddy’s deal; Q2 2021 included $2.5 million of Azurity milestone revenue.
  • H1 revenue and gross profit were lower than in 2021, when $14.0 million of licensing revenue included Azurity and Bausch milestones. H1 2022 instead included $5.0 million of Dr. Reddy’s licensing revenue.
  • In June, Eton sold rights to Cysteine Hydrochloride, Biorphen, and Rezipres to Dr. Reddy’s for $5.0 million at closing, with up to $45.0 million in additional event- and sales-based payments. $250,000 of the closing payment was held in escrow. Eton expected to sell existing Biorphen inventory through year-end 2022. The company expensed $812,000 of Sintetica profit-share receivables in Q2 in connection with the transaction.
  • Q2 general and administrative expense rose to $5,263 from $3,228, mainly due to marketing, legal, compensation, and product-related costs. H1 R&D expense declined to $2,308 from $2,876, attributed to lower development activity.
  • Q2 and H1 2022 included accelerated amortization related to the product-rights sale, including $738,000 for Rezipres and $275,000 for Biorphen in Q2. Other unusual items included $244,000 of warrant-modification expense and approximately $72,000 of expense from extending a former CFO’s options.

Outlook, risks, and contingencies

  • Management said existing cash, product revenues, and additional milestone payments expected in 2022 should fund operating expenses and capital requirements for at least twelve months from the filing date. This depends on sales, spending, development, and milestone assumptions; management cautioned that capital could be used sooner and additional financing may be needed.
  • Potential risks include slower product growth, delays in development or regulatory approvals, inability to obtain financing on acceptable terms, dilution from equity issuance, and debt covenant restrictions. Management warned that financing difficulties could require operations to be scaled back or discontinued.
  • Dr. Reddy’s may pay up to $45.0 million in additional milestone-based consideration; the timing and receipt are contingent. Eton also disclosed up to $25.0 million of possible future Azurity milestones. These amounts are not guaranteed.
  • The company reported no pending or threatened litigation it believed could materially affect operations, and no material changes to the risk factors in its 2021 Form 10-K. Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting.

Investor facts to verify

  • Progress toward any Dr. Reddy’s milestones, escrow release, and the operational and revenue impact of divesting the three products.
  • Underlying product-sales growth and gross margins, separated from one-time licensing or milestone revenue.
  • Cash burn, working-capital movements, and whether management’s stated twelve-month liquidity outlook remains supported by actual sales and milestone receipts.
  • SWK debt repayment schedule, interest costs, minimum-cash and other covenants, and refinancing or financing needs.
  • Development and regulatory timelines for dehydrated alcohol injection and ZENEO hydrocortisone, and the potential costs and funding required.
