Revenue fell about 75%, and gross margin contracted sharply. Management attributed the revenue decline mainly to AVX’s reduced service work and lack of a large project during the pandemic, while the company shifted toward technology products and away from generalized hydroponic equipment. Hydrofarm was no longer the primary revenue source in 2022. Operating expenses rose about 58%, including increased R&D ($1.06 million, versus $220,469) and general and administrative costs. Other income included $158,547 of forgiven debt and $166,288 of rental income; marketable-securities losses partly offset these items.

Operating cash use increased year over year. Investing activities used $211,257, including net purchases of marketable securities; financing activities used $1,158,547, principally reflecting a $1 million treasury-stock payment and debt forgiveness. The company reported no outstanding loan balance at year-end; lease liabilities totaled approximately $279,010. Cash included approximately $3.12 million above FDIC insurance limits. The filing reports no off-balance-sheet arrangements.

Business, changes, and outlook

Focus Universal describes five technology platforms, including its Ubiquitor/USIP universal instrumentation system, ultra-narrowband power-line communication, wireless technology, device-on-a-chip, and user-interface automation. These technologies remain principally in development or testing, and the filing reports no clear quantified revenue contribution from them.

Management’s stated priorities include moving Ubiquitor toward production, developing and marketing IoT products, expanding smart-home and installation services, and continuing PLC and wireless R&D. The company reported prototypes and pilot-production preparations, but no formal financial guidance. It said additional funding could be needed; its risk factors estimate up to $20 million may be required for Ubiquitor development, manufacturing, assembly, and marketing. Internal UNB performance figures are company testing claims, not independently established commercial results.

Subsequent events included completion of the AT Tech Systems business combination on January 6, 2023; approval of a 50% stock dividend; reduction of the announced $25 million at-the-market offering to $1 million; and a board proposal to seek shareholder approval to increase authorized common shares from 75 million to 750 million. Verify the effects and status of these actions after the filing date.

Risks, contingencies, and unusual items

  • The company has a history of losses and an accumulated deficit of $17.86 million. The 2021 auditor’s report cited substantial doubt about continuing as a going concern; the 2022 auditor gave an unmodified opinion and did not repeat that going-concern paragraph.
  • Management concluded disclosure controls were ineffective and reported significant deficiencies/material weaknesses, including around revenue and expense cut-off and account classification. Remediation was ongoing and its completion timing was uncertain.
  • A $2 million repurchase of 400,000 shares was recorded as treasury stock. The remaining $1 million was due by February 6, 2023 and was still unpaid as of the filing date.
  • Two employment-related lawsuits involving AVX seek unspecified damages; one had no trial date and the other was scheduled for October 11, 2023. The company said their outcomes could materially affect it. A separate company-filed dispute over prepaid equipment was awaiting judgment.
  • Risks include dependence on product commercialization and financing, customer and supplier concentration, outsourced manufacturing, China-related IP and trade exposure, cybersecurity and product-liability exposure (the company reported no product-liability insurance), and potential share dilution. Four customers represented 49% of 2022 revenue; one vendor represented 65% of year-end accounts payable.

Investor verification priorities

  • Confirm the unpaid $1 million treasury-stock balance, subsequent settlement, and total cash available after year-end.
  • Track actual Ubiquitor and PLC production, customer orders, revenue, margins, and independently validated technical performance against management’s timelines and claims.
  • Review progress remediating control weaknesses and any subsequent auditor or SEC disclosures; the filing’s audit opinion does not attest to internal-control effectiveness.
  • Verify the AT Tech acquisition’s purchase price, acquired financial contribution, integration costs, and the status and terms of the stock dividend, ATM facility, and proposed authorized-share increase.
  • Monitor customer/vendor concentration and the status, potential exposure, and any recorded accruals for pending litigation.
