Material changes, outlook, risks and unusual items
- Adviser fee: Effective July 1, 2023, the base management fee rate fell from 1.375% to 1.0% of average adjusted gross assets. The income incentive fee was $74.1 million in FY2023, versus $17.8 million in FY2022; no capital-gains incentive fee was payable or accrued.
- Portfolio activity: New investment commitments declined to $644.6 million from $1.82 billion in FY2022. Management gave no specific earnings, yield, distribution or investment-growth guidance.
- Debt and interest-rate exposure: Average debt cost increased to 4.9% from 3.0%, and interest and other debt financing expense rose to $150.6 million from $89.4 million. The $500 million 3.375% unsecured notes mature April 15, 2024. Statutory asset coverage was 180.7%, above the 150% minimum stated in the filing. Management targets GAAP debt-to-equity of 0.85x–1.25x.
- Rate sensitivity: With the September 30, 2023 balance sheet held constant, a 100-basis-point rate increase was estimated to raise annualized net investment income by $36.4 million; a 100-basis-point decrease was estimated to reduce it by the same amount. Actual results may differ as portfolio and financing balances change.
- Non-cash income and credit quality: FY2023 included $40.6 million of PIK interest and $14.9 million of non-cash dividend income. Such income may be recorded before cash is received. The filing also reports restructuring-related realized losses and isolated portfolio-company credit deterioration.
- Valuation and market risks: Nearly all portfolio investments were Level 3 fair-value measurements; the auditor identified valuation using significant unobservable inputs as a critical audit matter. Risks include borrower defaults, inflation and higher rates, illiquid holdings, competitive loan terms, leverage, refinancing needs and fair-value uncertainty.
- Other developments: The company announced an at-the-market equity program of up to $250 million on October 6, 2023. On November 17, 2023, it declared a $0.37 quarterly distribution and a $0.07 supplemental distribution. These are post-year-end announcements, not FY2023 results.
- Reporting: Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded internal controls were effective. The company said it was not party to any material legal proceedings.
Most important facts for investors to verify
- Confirm the applicable period: this is FY2023, ended September 30, 2023, despite the request metadata indicating “2022 Q4.”
- Review the $500 million 2024 Notes maturity, refinancing plans and available liquidity; distinguish unrestricted cash from restricted cash and facility availability subject to borrowing-base limits.
- Track non-accruals, rating 3 exposures, restructurings and the extent to which reported income depends on PIK or other non-cash items.
- Assess whether higher portfolio yields continue to exceed rising borrowing costs, incentive fees and credit losses; compare income available for distribution with declared distributions.
- Examine Level 3 valuation assumptions and sensitivity, especially market yields, borrower performance and EBITDA/revenue multiples.
- Check subsequent filings for actual ATM share sales, further distributions, debt refinancing and any changes in asset coverage or portfolio credit quality.
