Genenta Science S.p.A. — FY2021 Form 20-F
Reporting period: Fiscal year ended December 31, 2021. This is an annual report, not a standalone fourth-quarter report. Financial statements are audited and prepared under U.S. GAAP; amounts below are in euros unless stated otherwise.
Business context
Genenta is an Italian clinical-stage biotechnology company developing autologous hematopoietic stem cell gene therapies for solid tumors. Its lead candidate, Temferon, is being studied in patients with newly diagnosed glioblastoma with an unmethylated MGMT promoter (uMGMT-GBM). The company had no approved products and had generated no product revenue.
Financial performance and position
| Metric | FY2021 | FY2020 | Change or context |
|---|---|---|---|
| Revenue | None | None | No product sales |
| Research and development expense | €3.39 million | €4.69 million | Down €1.30 million, mainly reflecting higher R&D tax-credit benefits presented against expense |
| General and administrative expense | €2.30 million | €0.90 million | Up €1.39 million, including greater staffing, professional support and public-company costs |
| Total operating expenses / operating loss | €5.69 million | €5.59 million | Operating loss widened modestly |
| Net loss | €5.53 million | €5.59 million | Loss narrowed by about €0.06 million, helped by €150,000 in awards and subsidies |
| Cash used in operating activities | €6.96 million | €6.04 million | Cash operating outflow increased |
| Cash and cash equivalents at year-end | €37.24 million | €15.47 million | Increase largely reflects IPO proceeds |
| Total current assets / current liabilities | €38.76 million / €1.14 million | €16.53 million / €2.33 million | Strong reported current liquidity at year-end |
| Total liabilities | €1.17 million | €2.35 million | Primarily current operating liabilities; no material borrowings are identified in the presented balance sheet |
With no revenue, profit margins are not meaningful. FY2021 basic and diluted loss per share was €0.37; comparable per-share figures were not presented for 2020 and 2019 because the company then had quota interests rather than shares. Accumulated deficit was €27.02 million. The company reported no income-tax expense and maintained a full valuation allowance against deferred tax assets.
The IPO generated approximately €28.74 million in net cash proceeds in the cash flow statement; the filing also describes proceeds of approximately US$33 million. Financing cash flow was €28.74 million, versus €1.39 million in 2020. Investing cash outflow was only €9,000. Management estimated available funds would support operations and capital expenditures through 2024, but noted that this estimate depends on assumptions and spending plans.
Material changes and notable items
- General and administrative expense rose substantially in 2021, while reported R&D expense fell because of increased R&D tax-credit recognition and utilization—not a comparable reduction in underlying development activity alone.
- The company converted from an Italian S.r.l. to an S.p.A. in June 2021 and completed its Nasdaq IPO in December. It ended the year with 18,216,858 ordinary shares outstanding.
- FY2021 included a €150,000 Italian COVID-support award. The company also recognized approximately €1.18 million of R&D tax-credit benefit against R&D expense, compared with approximately €0.27 million in 2020.
- The multiple-myeloma study was discontinued in early 2021 due to limited enrollment feasibility and a competitive landscape; the filing says no patients had been treated in that study.
Development, outlook and risks
- Temferon study: The Phase 1/2a TEM-GBM study was ongoing. As of November 15, 2021, 15 patients had been dosed. Management reported no dose-limiting toxicities to date and evidence of engineered cells persisting up to 18 months. Preliminary disease status was six stable disease, two partial responses and seven progressive disease.
- Safety context: Nine deaths had been reported among treated patients by the stated data cutoff. Seven were attributed to disease progression; two occurred after conditioning-regimen complications and were considered by the investigator not related to Temferon, though potentially related to conditioning and chronic steroid treatment. A suspected unexpected serious adverse reaction involving elevated GGT was reported as possibly related to Temferon and had resolved. These are early, small-cohort observations, not evidence of efficacy or a definitive safety profile.
- Plans: The company anticipated completing enrollment and dosing in the Phase 1/2a study by Q2 2022 and intended to submit a European Phase 2 CTA by Q4 2022. It was considering liver cancer, including HCC and ICC, as a second solid-tumor indication. The FDA had provided written pre-IND feedback in Q3 2021; study and manufacturing plans were to be informed by that feedback.
- Funding and execution: Genenta expects continued losses and significant development spending and will likely need additional capital over the longer term. Funding may be unavailable or dilutive; insufficient funds could delay, reduce or end programs. Management reported no material borrowings in the presented balance sheet.
- Key risks: Clinical and regulatory failure or delay; limited patient enrollment; gene-therapy safety risks, including delayed effects; reliance on OSR, CROs, AGC Biologics and limited or sole suppliers; manufacturing scale-up and logistics; COVID-related disruption; and dependence on licensed intellectual property from OSR.
- Contingencies and commitments: OSR license milestone payments are contingent on future development, approval and sales events. Potential milestone amounts include up to €53 million for each solid-cancer indication and up to €10 million for a lympho-hematopoietic indication, plus royalties and other obligations. These are not current debt balances. Contractual payments listed at year-end totaled €423,568, mainly AGC manufacturing commitments and office rent.
- Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2021 because of material weaknesses, including insufficient accounting staff, inadequate segregation of duties, challenges accounting for complex transactions and insufficient documentation. Remediation was ongoing. The auditor gave an unqualified opinion on the financial statements but did not audit internal-control effectiveness.
- Other investor considerations: The company paid no dividends and did not expect to do so in the foreseeable future. Management had not completed a formal PFIC analysis and said U.S. investors may face adverse tax consequences if the company is classified as a PFIC.
