Gentex reported no outstanding borrowings on its $150 million revolver at December 31, 2022. It subsequently replaced that facility with an unsecured $250 million revolving facility maturing in February 2026. Material changes and drivers
- Automatic-dimming mirror shipments increased 6%, to 44.2 million units, while light-vehicle production in Gentex’s primary markets increased 3%. Management said revenue outperformed the market by 8%.
- Gross margin declined amid higher raw-material, manufacturing, freight and logistics costs and customer price reductions. Raw-material costs reduced margin by an estimated 250–300 basis points year over year; each of the other cited factors reduced it by approximately 50–100 basis points.
- Engineering and R&D expense increased 13% to $133.3 million; SG&A increased 16% to $106.5 million. The latter included the SEC settlement accrual and related professional fees.
- Fire-protection sales increased 53%; dimmable aircraft-window sales fell 33%. Automotive mirror revenue rose, while HomeLink module revenue was slightly lower.
- Inventories increased $88.1 million to $404.4 million, primarily as Gentex built raw-material stocks to manage supply-chain and order volatility. Operating cash flow was also affected by working-capital changes.
Outlook, risks and unusual items
- For 2023, management estimated revenue of approximately $2.2 billion, gross margin of 32%–33%, operating expenses of $260–$270 million, capital expenditures of $200–$225 million, and a tax rate of 15%–17%. The estimates depend on vehicle-production forecasts, product mix, option rates and supply availability.
- Management estimated 2024 revenue would be approximately 10% above its then-current 2023 revenue estimate, while cautioning that forecasting remained uncertain.
- Key risks include automotive-industry cyclicality, inflation and pricing pressure, electronics and other supply constraints, labor availability, customer production changes, tariffs and geopolitical conditions, and competition or technology shifts—including camera systems replacing mirrors. Toyota, Volkswagen and General Motors represented 16%, 13% and 10% of 2022 net sales, respectively.
- On February 7, 2023, the SEC accepted a settlement concerning accounting for employee bonuses and books-and-records/internal-control matters in 2015–2018. Gentex agreed to a $4.0 million civil penalty, accrued in 2022; the CFO agreed to pay $75,000. The settlement involved no restatement. The 2022 audit gave unqualified opinions on the financial statements and internal controls, which were reported effective.
- Gentex planned substantial facility expansion, including a new manufacturing facility expected to begin operation in 2023. It also reported unrealized investment losses and a 2022 decline in investment-related other income; management said it did not consider market risks necessarily material.
Important facts for investors to verify
- Whether 2023 revenue and margin guidance was achieved, and how actual vehicle production, product mix and supply constraints compared with assumptions.
- Whether inventory levels converted into sales and cash without material obsolescence or write-downs.
- How concentrated customer exposure and customer production changes affect sales and receivables.
- Whether planned facility spending, new products and advanced-feature programs deliver expected capacity and returns.
- Any subsequent developments concerning the SEC settlement, accounting controls, investment losses or credit-facility covenants.
