| Metric | Q3 2021 | Q3 2020 | Nine months 2021 | Nine months 2020 |
|---|---|---|---|---|
| Net sales | $399.6m | $474.6m | $1,311.3m | $1,158.3m |
| Gross margin | 35.3% | 39.7% | 36.3% | 33.6% |
| Operating income | $88.2m | $138.9m | $321.8m | $237.1m |
| Net income | $76.7m | $117.1m | $276.6m | $204.2m |
| Diluted EPS | $0.32 | $0.48 | $1.15 | $0.82 |
| Operating cash flow | Not separately provided | Not separately provided | $299.4m | $329.0m |
Q3 sales fell 16% year over year and net income fell 35%; auto-dimming mirror shipments declined 7%. Management attributed the downturn chiefly to a 23% decline in light-vehicle production across its primary regions, with actual Q3 production also substantially below the mid-July forecast due to parts shortages and supply constraints. Lower sales and production reduced fixed-cost absorption; customer price reductions and higher freight and other supply-chain costs also pressured gross margin. Q3 operating expenses rose 7% to $52.7m.
For the first nine months, sales rose 13%, net income rose 35%, and diluted EPS increased to $1.15 from $0.82. Mirror unit shipments rose 22%. Higher volume, improved fixed-overhead leverage, structural cost savings, and purchasing cost reductions supported the margin improvement, partly offset by customer price reductions. The effective tax rate was 15.4% for the nine-month period, versus 17.1% a year earlier.

Outlook, risks, and notable items
- Updated second-half 2021 guidance: revenue of $770m–$840m; gross margin of 35%–36%; operating expenses of approximately $105m–$108m; annual tax rate of 15%–16%; capital expenditures of $50m–$60m; and depreciation and amortization of $48m–$52m.
- For calendar 2022, management forecast revenue 15%–20% above its updated 2021 estimate of $1.68bn–$1.75bn. Management cautioned that the outlook depends on uncertain vehicle demand, production, and supply conditions.
- The filing highlights COVID-19 effects, industry-wide semiconductor and other parts shortages, supply-chain constraints, labor costs, freight and raw-material inflation, customer pricing pressure, production shutdowns, and possible tariffs. The company estimated Q3 mirror shipments were 2.5m–3.0m below its beginning-of-quarter forecast due to lower vehicle production.
- Second-half guidance excludes potential increased tariffs related to EU Regulation 2018/0886; implementation had been suspended until November 30, 2021 pending discussions.
- Management said current liquidity, investments, internally generated cash flow, and available credit should cover anticipated needs for the foreseeable future. It reported no significant unrecorded off-balance-sheet arrangements and did not expect pending legal matters to materially adversely affect the company.
- Acquisitions included Guardian, acquired in March 2021 for approximately $12.0m. Acquisition accounting for Guardian and Argil remained subject to measurement-period finalization; the acquired businesses did not contribute revenue in the reported year-to-date period.
Investor verification priorities
- Check subsequent vehicle-production and semiconductor-supply developments against the forecast assumptions and 2021–2022 revenue outlook.
- Monitor whether freight, raw-material, labor, and customer pricing pressures continue to affect margins, and whether the potential EU tariff takes effect.
- Compare realized second-half results with the stated guidance ranges and review the basis for the 2022 growth forecast.
- Track working-capital requirements, especially inventory growth, alongside cash generation and the pace of share repurchases and dividends.
- Review final purchase-price accounting for Guardian and Argil and any material changes to acquisition-related assets or goodwill.
