GENTEX CORP annual report, FY2015

Gentex Corporation — FY2015 Form 10-K

Reporting period: Fiscal year ended December 31, 2015. The filing also reports fourth-quarter results; it is an annual report, not a standalone quarterly filing. Unless stated otherwise, amounts are U.S. dollars.

Business context

Gentex designs and manufactures automotive rearview mirrors and electronics, dimmable aircraft windows, and fire-protection products. Automotive products generated about 98% of 2015 sales. The company reported a roughly 91% worldwide share of automatic-dimming rearview mirrors and began volume shipments of its Full Display Mirror in 2015. It also signed an agreement to integrate TransCore toll-module technology into its mirrors.

Fourth-quarter sales were $405.6 million versus $350.4 million, operating income was $126.7 million versus $98.6 million, and net income was $88.4 million versus $71.0 million. Diluted EPS was $0.30 versus $0.24.

  • Cash and cash equivalents were $551.6 million at year-end, up from $497.4 million. The current ratio was 7.5 and working capital was $853.0 million.
  • Capital expenditures were $97.9 million, up from $72.5 million. Operating cash flow less capital expenditures was approximately $253.6 million, calculated from reported figures.
  • Year-end debt was approximately $233.1 million, including $7.5 million current and $225.6 million long-term. Gentex repaid $32.5 million during 2015; $49.2 million remained available under its $150 million revolving facility.
  • A swap fixed the rate on $150 million of debt at 1.89% from its effective date through September 2018. Reported borrowing rate at year-end was 1.43%; a 1-point rate increase was estimated to add about $0.8 million in annual net interest expense.
  • Dividends declared rose to $0.335 per share from $0.31. The company repurchased 6.65 million shares for $111.2 million during 2015.

Changes versus prior year

Automatic-dimming mirror shipments increased 14%, from 29.0 million to 33.0 million units, primarily from higher penetration and international demand. Purchasing savings and product mix largely offset customer price reductions and currency effects, leaving gross margin nearly flat. Operating expenses rose only 3.5% while sales rose 12.2%, lifting operating margin. Net income growth was slower than operating-income growth, in part because other income fell substantially: lower realized investment gains and increased interest expense contributed to the decline. The effective tax rate rose to 31.3% from 30.5%; 2014 had benefited from tax credits that did not recur at the same level.

Outlook, risks and other matters

  • 2016 guidance: Revenue of $1.64–$1.72 billion; gross margin of 38.5%–39.5%; operating expenses of $152–$160 million; tax rate of 31.5%–32.5%; capital expenditures of $115–$130 million; depreciation and amortization of $90–$100 million.
  • 2017 outlook: Revenue expected to increase approximately 6%–10% over the company’s 2016 revenue estimates, based on stated vehicle-production assumptions.
  • Management expects price reductions to remain a margin pressure, partly offset by purchasing savings, operational efficiencies, product mix, and fixed-cost leverage. Forecasts depend on vehicle production, option rates, customer programs, and product mix.
  • Key exposures include automotive cyclicality and concentration, with Volkswagen, Toyota, and Ford each contributing at least 10% of 2015 sales; customer pricing pressure; production disruptions and supplier shortages; competition; and risks that cameras or broader driver-assistance systems displace or compete with mirror products. The filing notes regulatory developments on rearview cameras and camera-monitor systems, but says near-term opportunity from the U.S. rear-camera mandate was uncertain.
  • Other risks include foreign-exchange and equity-market movements, potential customer credit problems, product quality or warranty claims, intellectual-property disputes, cybersecurity and operational disruption. The company reported no material pending legal proceeding expected to materially harm its financial position or results. No goodwill or indefinite-lived intangible impairment was recorded.
  • A new Zeeland manufacturing and distribution facility was expected to be completed in 2016, with production starting in early 2017; management estimated additional annual capacity of 10–15 million mirrors, depending on mix and utilization.
  • The financial statements received an unqualified audit opinion, and the auditor also gave an unqualified opinion on internal control over financial reporting.

Important facts for investors to verify

  • Whether 2016 revenue and margin guidance is achieved, especially given customer price cuts, product mix, and vehicle-production volatility.
  • Whether forecast 2017 growth materializes and how much depends on new product awards and adoption of display, camera, and driver-assistance features.
  • Progress on facility spending, capacity utilization, and whether capital expenditures and depreciation track management’s forecasts.
  • Automotive customer concentration, receivable collectability, and any changes in production or program awards at major customers.
  • Debt repayment, interest-rate exposure, share repurchases, and dividend funding relative to operating cash flow.
