Q3 revenue grew 2.9%; nine-month revenue grew 29.2%, primarily as elective procedures recovered from pandemic restrictions and sales and marketing efforts expanded. Nearly all revenue and gross profit came from LAP-BAND. Nine-month gross margin improved on higher volume and a greater domestic sales mix, while Q3 margin fell amid higher department and freight costs and costs preparing to reintroduce Obalon products.

Operating expenses were $17.119 million in Q3 and $27.516 million for nine months. The sharp increase versus 2020 was driven substantially by stock-based compensation: $10.720 million in Q3 and $10.457 million for nine months, including an approximately $8.9 million catch-up charge from grants with retroactive vesting. Management said compensation expense should normalize. Q3 also included $2.813 million of warrant expense. Nine-month results included $2.277 million of Obalon merger professional fees and a $2.061 million net debt-extinguishment loss. Adjusted EBITDA is not reported here; the company’s non-GAAP measure, “non-GAAP loss,” was $3.615 million for Q3 and $6.624 million for nine months.

Cash, debt and liquidity

At September 30, 2021, cash and cash equivalents were $29.243 million, plus $0.050 million restricted cash; working capital was approximately $27.3 million. Nine-month operating cash use was $11.949 million, compared with $6.788 million in 2020. Investing activities provided $4.922 million, mainly due to $5.207 million of cash acquired with Obalon, less capital expenditures. Financing activities provided $33.299 million, including $45.616 million from warrant exercises and $1.0 million of credit-agreement proceeds, offset by repayment of $10.5 million of credit-agreement debt and financing costs.

The company reported $3.0 million of debt, all current, consisting of asset-purchase consideration payable for the LAP-BAND acquisition; it had no outstanding balance under the institutional credit agreement after repaying it in June. The PPP loan and accrued interest were forgiven in full. Management said the equity raise gave it flexibility to manage spending, but cautioned that cash forecasts depend on assumptions and actual capital needs could be higher.

Material developments, outlook and risks

  • ReShape completed its merger with Obalon on June 15, 2021. It was accounted for as a reverse acquisition, with preliminary purchase accounting including $21.053 million of goodwill and $2.730 million of developed technology. Valuations and other acquisition accounting items remained subject to the measurement period.
  • In June, warrant exercises generated approximately $45.5 million gross proceeds; proceeds were used in part to repay the credit agreement. The transaction issued substantial additional shares and new warrants, creating potential dilution.
  • Management planned to expand LAP-BAND sales, market reshape care and ReShape Marketplace, continue ReShape Vest clinical testing and Diabetes Bloc-Stim development, and pursue Obalon balloon reintroduction. It expected reshape care revenue to increase in Q4 2021 and into 2022, and expected sales and marketing spending to rise through the remainder of 2021. No specific financial guidance was provided.
  • COVID-19, including the Delta variant, remained a risk to procedure volumes and international sales; the filing also cited a pandemic-related slowdown in ReShape Vest clinical trials. Product development, clinical, regulatory, commercialization, and future funding needs remain uncertain.
  • The company reported no material litigation, no off-balance-sheet arrangements, and effective disclosure controls as of quarter-end. The filing notes an immaterial prior-period error correction related to share-ratio adjustments; it did not affect net income or retained earnings.

Key facts for investors to verify

  • Confirm the issuer: the source filing is ReShape Lifesciences Inc. (RSLS), not Vyome Holdings, Inc.
  • Review the cash-burn trajectory and expected operating runway against planned marketing, product-development, clinical, and commercialization spending.
  • Assess dilution from the warrant exercise, replacement warrants, merger-related shares, and outstanding options and warrants.
  • Check final Obalon purchase-price allocation and impairment assumptions for goodwill and acquired intangible assets.
  • Track whether LAP-BAND growth, reshape care revenue, and the planned Obalon product relaunch materialize, and whether gross margins recover.
