Third-quarter sales increased 21.2% year over year; IPG-attributable net income rose 29.1%. For the nine months, sales grew 19.0% and attributable net income rose 27.0%. Management attributed stronger gross margins to product mix and improved absorption of manufacturing costs. Growth reflected demand for high- and medium-power lasers in cutting and welding, and pulsed lasers in marking and engraving, alongside increased fiber-laser adoption.
Liquidity, debt and balance sheet
- At September 30, cash and cash equivalents were $372.6, versus $180.2 at year-end 2011; short-term investments were nil, down from $25.5. Current assets were $661.1 and current liabilities $121.3 (current ratio approximately 5.5).

Material changes and unusual items
- IPG repurchased Rusnano’s 22.5% interest in its Russian subsidiary on June 29, 2012 for $55.4 cash; related warrant and put/call options were terminated. Redeemable noncontrolling interest was eliminated.
- On August 31, IPG acquired assets of JP Sercel Associates, a manufacturer of laser-based materials-processing systems. Cash paid in the acquisition was included in $11.6 of nine-month business-acquisition outflows. Preliminary purchase accounting recorded $3.1 goodwill and $3.4 intangible assets; sales-based earn-outs could total up to $18.5, with $2.4 accrued.

Outlook, commentary and risks
- No full-year revenue or earnings guidance is provided. Management expected 2012 capital expenditures at the high end of its $55–$60 million target range.
- Management expected fourth-quarter 2012 German corporate-tax cash payments to exceed $30 million, compared with $7.4 million paid in the first nine months, reducing fourth-quarter operating cash flow.
- Management expects sales and marketing, research and development, and general and administrative spending to increase over time as the company expands its sales organization, product development and support infrastructure. Inventory levels are expected to remain relatively high, tying up working capital.
- Key disclosed exposures include foreign exchange movements, dependence on a changing group of significant customers (the five largest represented 17% of nine-month sales), fixed manufacturing costs and inventory obsolescence. Inventory provisions were $6.1 million for the first nine months of 2012, up from $4.2 million.
- The company reported no material developments in other legal proceedings. In the patent case brought by IMRA America, a jury found no infringement; post-trial motions were denied and no timely appeal was filed. No loss was considered probable or accrued at quarter-end.
