Approximate Q1 2020 operating and net margins were 16.5% and 4.2%, respectively, based on reported revenue and income. Research and development expense was $28.0 million, down 13%; selling, general and administrative expense was $36.5 million, down 26%. The SG&A decline reflected lower headcount, facility costs and separation-related expenses. No restructuring expense was recorded, versus $3.3 million in Q1 2019. Interest expense was $7.2 million; a $3.5 million derivative loss, compared with a $3.9 million gain a year earlier, reduced the improvement in net results.
Liquidity, debt and balance sheet
- Cash and cash equivalents were $231.1 million at March 31, 2020, up from $177.0 million at year-end; cash, cash equivalents and restricted cash totaled $233.4 million. Operating cash generation was aided by a $35.9 million reduction in accounts receivable. Capital expenditures were $1.4 million, and stock-option and employee stock plan proceeds provided $12.0 million.
- Total assets were $404.0 million; current assets were $333.9 million and current liabilities $27.6 million. Stockholders’ deficit was $71.6 million.
- Convertible-note principal totaled approximately $520.7 million: $120.7 million due 2022, $200 million due 2024 and $200 million due 2026. The notes’ net carrying amount was $413.4 million after unamortized discounts and issuance costs. Management stated cash on hand was expected to fund projected operating needs for at least 12 months from issuance of the statements.
Changes, outlook and material risks
- Management attributed revenue growth mainly to increased U.S. LINZESS prescription demand, which increased Ironwood’s share of U.S. collaboration profits by about $6.8 million. Collaborative revenue also included higher co-promotion and royalty income.
- Ironwood reported no material COVID-19 impact on Q1 results, but warned of uncertain future effects. Remote work and virtual promotion could affect LINZESS demand and reimbursement; manufacturing and U.S. supply had not experienced significant disruption as of the filing date.
- COVID-19 had disrupted enrollment in the Phase III IW-3718 refractory GERD trials: most sites had suspended screening new patients. Management expected delayed trial spending during 2020, delayed top-line data, and higher aggregate trial costs. MD-7246 Phase II IBS-D dosing was complete before widespread pandemic effects.
- No numerical revenue or earnings guidance was provided. The company expects substantial ongoing commercialization and R&D costs and relies significantly on Allergan-related U.S. LINZESS cash flows. Management cautioned that projections could vary and capital could be used sooner than expected; future financing may not be available on acceptable terms.
- Generic LINZESS litigation was settled with five manufacturers; licenses for 145 mcg and 290 mcg generics may begin as early as March 2029, subject to FDA approval and specified conditions. A separate 72 mcg license may begin in August 2030; the Teva settlement does not license its 72 mcg version. Ironwood reported no material legal proceedings currently pending.
- Other key risks include dependence on LINZESS and collaboration partners, pricing and reimbursement pressure, clinical and regulatory uncertainty, third-party manufacturing and supply-chain reliance, patent challenges, and obligations under convertible notes. The filing reports effective disclosure controls and no material changes to internal control over financial reporting during the quarter.
Investor verification priorities
- Verify the drivers and sustainability of U.S. LINZESS demand and collaboration profit share, including the partner-reported sales and expense inputs used in Ironwood’s revenue calculation.
- Track the COVID-19 effects on reimbursement, promotion, supply continuity, and enrollment, timelines and costs for the IW-3718 trials.
- Assess cash generation excluding the large receivables-driven operating cash inflow, and compare available liquidity with debt service, development spending and other commitments.
- Review convertible-note principal maturities, conversion and repurchase terms, and the potential dilution and accounting volatility associated with related hedge and warrant instruments.
- Monitor the generic-entry settlement terms and the commercial, regulatory and patent conditions that could affect LINZESS exclusivity.
