Current assets were RMB106.9bn and current liabilities RMB104.7bn. Inventory rose to RMB28.9bn from RMB20.5bn; annual inventory turnover days increased to 38.0 from 36.9. Accounts payable increased to RMB44.0bn from RMB29.8bn, while accounts receivable rose to RMB17.5bn from RMB8.2bn.

Reported debt-related balances included RMB8.3bn of short-term borrowings, RMB13.5bn of nonrecourse securitization debt and RMB6.8bn carrying value of unsecured senior notes. The notes comprise US$500m due 2021 at 3.125% and US$500m due 2026 at 3.875%; JD reported compliance with their covenants. Separately, the company reported RMB21.7bn in revolving credit lines, with RMB11.9bn outstanding under those lines in its liquidity discussion. These debt and credit-line disclosures use different presentations; investors should verify their scope and reconciliation in the full filing.

Total assets were RMB160.4bn, total liabilities RMB119.2bn and total shareholders’ equity RMB34.2bn. The company stated that cash and expected operating cash flow should cover anticipated cash needs for the next 12 months. Capital expenditures were RMB4.5bn in 2016, and management expected significant investment in fulfillment and technology to continue.

Material changes versus prior comparable period

  • Revenue grew 43.5%, while annual active customer accounts increased to 226.6m from 155.0m and fulfilled orders to 1.775bn from 1.263bn.
  • Cost of revenue increased 40.6%, slower than revenue growth; its share of revenue declined to 84.8% from 86.6%. Fulfillment expense rose 50.5% and increased to 8.1% of revenue from 7.7%; marketing expense rose 36.7%.
  • Operating loss narrowed to RMB2.1bn from RMB6.5bn. The 2015 comparison included a RMB2.75bn goodwill and intangible-asset impairment, principally relating to Paipai; no such impairment was recorded in 2016.
  • Share of results of equity investees remained a substantial loss at RMB2.8bn. 2016 also included a RMB1.23bn gain related to the Dada transaction, contributing to “others, net” income of RMB1.47bn.
  • JD Mall reported operating income of RMB2.29bn in 2016, while New Businesses reported an operating loss of RMB1.78bn; unallocated expenses were RMB3.10bn.
  • Investing outflows expanded substantially, while operating cash flow increased. Inventories, receivables, loan receivables and investment balances also grew considerably.

Outlook, commentary, risks and unusual items

  • No specific numeric revenue, earnings or margin guidance is provided. Management expects investment in fulfillment, technology, product selection and new initiatives to continue; it also expects fulfillment and technology costs to rise. The company cautions that losses may continue and profitability is not assured.
  • Management attributed 2016 revenue growth mainly to customer and order growth. General merchandise and other products reached 50.2% of GMV, while electronics and home appliances represented 69.1% of direct-sales revenue. The company reported RMB658.2bn GMV for 2016.
  • In March 2017, JD entered agreements to dispose of its 68.6% interest in JD Finance, subject to closing conditions expected to be satisfied in mid-2017. Proposed consideration includes RMB14.3bn cash and a 40% share of future cumulative pre-tax profits once positive, with potential equity conversion subject to regulatory approval. Closing and the ultimate financial effects were not assured.
  • Key risks include continued losses and heavy investment; intense competition and pricing pressure; rising labor and fulfillment costs; inventory obsolescence and working-capital demands; credit and collection risk in finance activities; investment impairments; and potential interruption or quality issues in delivery and customer service.
  • JD relies on contractual VIE arrangements for certain China operations and licenses. PRC legal, regulatory and foreign-investment uncertainty could challenge those arrangements. The filing also identifies licensing, data privacy and cybersecurity, foreign-exchange and cash-transfer restrictions, and possible limits on dividend remittances as material risks.
  • Other notable exposures include RMB depreciation, incomplete employee-benefit contributions, certain leased properties lacking ownership documentation, and limited business-interruption and product-liability insurance. The company reported no material legal or administrative proceedings and no material off-balance-sheet arrangements of the types described in the filing.
  • JD reported no cash dividends paid or expected in the foreseeable future. It repurchased approximately 31.1m ADSs for US$800m in 2016. Management and the auditor concluded internal control over financial reporting was effective at December 31, 2016; the acquired Shanghai Zhiao business, about 1% of assets and revenue, was excluded from that assessment.

Most important facts for investors to verify

  1. Confirm that comparisons use the annual period, not standalone 2016 Q4 results, and review quarterly disclosures separately for Q4 trends.
  2. Reconcile the reported RMB11.9bn revolving-credit-line balance with the RMB8.3bn short-term-borrowings balance and the RMB13.5bn securitization debt.
  3. Assess the quality and cash implications of RMB8.8bn operating cash flow, including the effects of rising payables, customer advances, inventory and receivables.
  4. Review credit quality, allowance adequacy and securitization recourse exposure as loan receivables rose to RMB12.7bn and financing-related balances expanded.
  5. Track the closing, proceeds, profit-sharing terms and deconsolidation accounting for the proposed JD Finance reorganization.
  6. Evaluate whether JD Mall’s operating income can offset New Businesses’ losses, unallocated costs and equity-investee losses without impairing growth investment.
  7. Review VIE enforceability, licenses and other PRC regulatory risks, and the extent of cash that is restricted or cannot readily be remitted from China.
