Revenue rose 11% in Q3 and 4% for the nine-month period. Nine-month royalty growth, primarily from Promacta and Captisol-licensed products, was partly offset by lower material sales and collaborative revenue. Q3 gross margin was approximately 89%; nine-month gross margin was approximately 93%, calculated from reported revenue less cost of sales. Q3 operating margin was approximately negative 21%.

At September 30, cash and cash equivalents were $7.046m, with no short-term investments and $1.341m of restricted cash and investments. Working capital was negative $12.4m. Notes payable totaled $28.148m; the $10m revolving line had been repaid and had no balance. Total liabilities were $76.271m. For the first nine months, investing activities provided $1.335m, including $10m proceeds from short-term investments, offset principally by $8.049m of CVR payments; financing activities provided $0.681m.

Material changes and notable items

  • Royalty revenue increased, while nine-month material sales declined to $4.150m from $5.713m, mainly due to timing of Captisol customer purchases. Research and development and general and administrative costs increased modestly year over year.
  • The nine-month 2012 net loss includes a $3.670m gain from discontinued operations related to Avinza sale estimates; continuing operations remained loss-making. The 2011 comparison included a $13.572m income-tax benefit, materially affecting reported earnings.
  • Onyx received accelerated FDA approval for Kyprolis in July 2012. Ligand is entitled to tiered royalties of 1.5%–3%, milestones and Captisol material sales. GSK submitted U.S. and European applications for Promacta in hepatitis C; the U.S. application received priority review.
  • After quarter-end, Merck initiated a Phase 2b/3 trial for dinaciclib; Ligand said it recognized a $2m milestone in Q4 2012. Ligand also settled its dispute with Chiva in October for $0.1m, which it received.
  • The company restated prior financial statements for errors in accounting for CyDex acquisition-related contingent liabilities, goodwill, intangible assets and taxes. The 2011 comparison in this filing reflects the restatement.

Outlook, risks and contingencies

Management said available cash and expected royalty, license and milestone revenues, together with possible expense reductions, should fund anticipated operating and capital needs for at least 12 months. This assessment is conditional: revenue shortfalls or higher development, regulatory, lease or acquisition-related costs could require additional financing, which may not be available on acceptable terms. No specific revenue or earnings guidance was provided.

  • Disclosure controls and procedures were ineffective as of September 30, 2012 because of material weaknesses in accounting for significant non-routine transactions and valuing contingent liabilities. Remediation was underway and had not yet been demonstrated effective.
  • Promacta and expected Kyprolis royalties are important revenue drivers; partner execution, product safety, approvals and market acceptance could materially affect results. Captisol also depends on a sole-source supplier, Hovione.
  • Potential CyDex milestone and revenue-sharing payments remain, including up to $4m to shareholders and up to $4m to former license holders under specified milestones. CyDex-related contingent liabilities were valued at $7.6m at quarter-end.
  • Operating lease obligations totaled $21.517m before expected sublease receipts. Ligand remains legally liable to Organon for the Avinza co-promotion termination obligation if King defaults; the related liability and receivable were each $13.075m.
  • A securities class action and derivative suit relating to a prior Genaera transaction named Ligand and its CEO; the company said the outcome was not determinable. The filing also identifies patent, clinical-development, partner-dependence, financing and product-liability risks.

Key facts for investors to verify

  • Whether Promacta royalties, Kyprolis commercialization and Captisol sales develop as anticipated, and the resulting royalty concentration.
  • Cash burn, negative working capital, upcoming term-loan amortization beginning in 2013, and availability or dilution impact of additional financing.
  • Progress and testing of remediation controls, and whether any further restatements or reporting issues arise.
  • Actual timing and amounts of contingent payments, CVRs, lease obligations and possible Chiva or other litigation-related costs.
  • Captisol supply continuity and the effect of patent expirations, challenges or alternative formulations on licensing revenue.
