Lantheus Holdings, Inc. — 2018 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2018. This is an annual report, not a standalone fourth-quarter filing; quarterly figures below are unaudited. Amounts are in U.S. dollars.

Business context

Lantheus develops, manufactures and sells diagnostic imaging products in U.S. and International segments. Its largest product is DEFINITY, an ultrasound contrast agent; TechneLite is a Technetium generator used by radiopharmacies. The portfolio also includes other radiopharmaceuticals. DEFINITY represented 53.3% of 2018 revenue, and TechneLite 28.8%.

Revenue grew 3.6%; operating income rose 24.4%. Net income fell 67.2% because 2017 included a substantial noncash tax benefit. The 2017 tax benefit included a $141.1 million release of the U.S. deferred-tax valuation allowance, partly offset by a $45.1 million charge from the federal tax-rate change. 2018 tax expense was $9.0 million. Cash flow from operations less capital expenditures was approximately $41.1 million in 2018, calculated from reported figures.

At year-end, current assets were $195.4 million and current liabilities were $52.8 million (approximately 3.7 current ratio). Long-term debt, net of discount and issuance costs, was $263.7 million. The term loan carried a 6.3% interest rate; $75 million was available under the revolving facility, subject to credit agreement terms and covenants. The company reported $71.0 million in stockholders’ equity.

Fourth-quarter and prior-period comparison

Fourth-quarter 2018 revenue was $86.3 million, gross profit $43.8 million, net income $13.3 million, and diluted EPS $0.34. In Q4 2017, revenue was $81.2 million, gross profit $37.9 million, net income $97.1 million, and diluted EPS $2.47. The unusually high prior-year quarterly earnings reflected the deferred-tax valuation-allowance release; it is not a comparable measure of recurring operating performance.

  • FY 2018 DEFINITY revenue increased 16.4% to $183.1 million, driven by higher unit volumes. Management described DEFINITY as its fastest-growing and highest-margin commercial product.
  • TechneLite revenue declined 5.5% to $98.9 million. U.S. sales fell amid the temporary Moly supply disruption, partly offset by higher International sales.
  • Other product revenue fell to $61.4 million from $69.5 million, including the nonrecurrence of a $5.0 million GE Healthcare license payment recorded in 2017.
  • International segment revenue increased 32.4% to $54.8 million, including temporary incremental TechneLite demand and recovery from the prior-year Puerto Rico hurricane impact.

Outlook, risks and unusual items

  • Management anticipates continued DEFINITY growth and expects it to represent a greater share of product mix in 2019, while acknowledging competition and possible generic entry. DEFINITY’s U.S. composition-of-matter patent expires in June 2019; its method-of-use patent expires in March 2037. The company reported no generic-applicant notice as of the filing date.
  • No specific consolidated revenue or earnings guidance is provided. Company-stated development timelines are conditional: a modified DEFINITY formulation could be commercially available in 2020 if approved; in-house manufacturing capability is targeted for early 2021; and SHINE’s future Moly supply is estimated for 2021. These dates are not assured.
  • Moly supply is a key operational risk. NTP’s facility was offline from late November 2017 to mid-February 2018 and again from early June to mid-November 2018; Lantheus could not meet all TechneLite demand on certain manufacturing days. Supply constraints and higher Moly costs pressured margins, and future disruptions could further reduce sales or increase costs.
  • Jubilant HollisterStier is the sole-source manufacturer of DEFINITY, Cardiolite and Neurolite; IRE is the sole source of bulk unprocessed Xenon. The company is pursuing alternate suppliers and internal manufacturing, but execution and regulatory timing remain uncertain.
  • Other material risks include DEFINITY competition and safety labeling, Xenon competition, customer and distributor concentration, reimbursement and regulatory changes, clinical-development and commercialization uncertainty, and variable-rate debt. A 100-basis-point adverse interest-rate change was estimated to increase annual interest expense by about $2.8 million.
  • The company is pursuing monetary damages in arbitration with Pharmalucence over an unsuccessful DEFINITY manufacturing arrangement; outcome and recovery are uncertain. It reported no other material ongoing litigation or known material regulatory investigation.
  • Unusual balance-sheet and tax matters include $40.2 million of uncertain tax-position liabilities, including interest and penalties, and an estimated $26.9 million decommissioning cost with an $11.6 million recorded asset-retirement liability. A $28.2 million surety bond provides financial assurance.

Important facts for investors to verify

  • Whether DEFINITY sustains growth and market position after the June 2019 composition patent expiration, and whether any generic applications or challenges arise.
  • Whether Moly availability, supplier diversification and related costs improve, and how future interruptions affect TechneLite volume and margins.
  • Progress and actual timing for DEFINITY’s Phase 3 LVEF studies, modified formulation, and planned North Billerica manufacturing capability.
  • Whether operating cash generation can support capital investment and debt service while maintaining adequate liquidity and covenant headroom.
  • Resolution and potential financial recovery from the Pharmalucence arbitration, and developments in uncertain tax positions and related BMS indemnification.
