Spectral AI, Inc. — Form 10-Q Summary
Reporting period: Quarter ended September 30, 2023; unaudited financial statements. Unless noted, amounts below are in millions of U.S. dollars. Spectral AI develops the DeepView multispectral imaging system for burn wounds and diabetic foot ulcers. It has not generated product revenue; reported revenue is primarily from government-funded research and development contracts.
Business context and reporting period
The September 11, 2023 business combination with Rosecliff Acquisition Corp. made Spectral AI a Nasdaq-listed company (MDAI; warrants MDAIW). It was accounted for as a reverse recapitalization, with Legacy Spectral as the accounting predecessor. Results for the periods shown therefore principally reflect Legacy Spectral’s operations.
The company is pursuing clinical validation and FDA clearance of DeepView. Its new BARDA Project BioShield contract has a potential value of up to approximately $149 million, including a nearly $55 million initial award. These are contract values, not amounts already received. The company also has a $4 million MTEC award for a handheld device project.

Q3 revenue fell 51.1% and nine-month revenue fell 33.7% year over year, mainly because BARDA Burn II clinical-trial work and patient enrollment were winding down. BARDA accounted for $3.055 million of Q3 revenue and $12.018 million for the first nine months. Q3 gross margin decreased 3.1 percentage points, which management attributed primarily to the lower-margin MTEC contract.
G&A rose 62.1% in Q3 and 68.3% for the nine-month period. Management cited increased staffing and non-revenue-generating R&D. The Q3 net loss also included $7.604 million of business-combination transaction costs; nine-month transaction costs were $8.342 million. A $1.069 million Q3 gain from the change in warrant fair value partly offset expenses. Adjusted EBITDA is a company-defined non-GAAP measure and should not be treated as a substitute for GAAP results.
Cash flow, liquidity and obligations
- Cash: $7.348 million at September 30, 2023, versus $14.174 million at December 31, 2022.
- Cash flows, nine months: $10.865 million used in operations, compared with $0.863 million used in 2022; $4.039 million provided by financing, compared with $0.651 million used in 2022. The 2023 financing included $3.351 million of equity-raise proceeds and $0.660 million received in the business combination. Cash declined by $6.826 million.
- Working capital: Current assets of $11.356 million and current liabilities of $10.647 million imply approximately $0.709 million of working capital, calculated from reported balances.
- Debt and leases: Notes payable were $0.632 million, primarily an insurance-premium financing note bearing 8.6% interest and maturing in June 2024. Lease liabilities totaled $1.041 million, including $0.813 million current. No other material borrowing balance is identified in the filing.
- Equity: Stockholders’ equity was $1.456 million, down from $11.996 million at year-end 2022; accumulated deficit was $29.242 million.
Management stated that the PBS BARDA contract and MTEC agreement are expected to provide sufficient working capital for at least one year beyond the financial-statement release date. It also cautioned that future capital needs depend on development, growth and public-company costs, and that additional financing may not be available on acceptable terms.
Outlook, risks and unusual items
- Development and regulatory outlook: BARDA Burn II is expected to conclude in July 2024. The new PBS award is intended to support clinical validation and FDA clearance; FDA approval or timing is not assured. The MTEC handheld-device project is scheduled to run through April 2025.
- Revenue and customer concentration: The business depends heavily on government contracts and their timing. One U.S. government agency represented 89% of Q3 2023 revenue and 87% of period-end net receivables. The company has no product sales to diversify this revenue base.
- Other operating risks: Management cited possible supply-chain delays or cost increases, pricing pressure as commercialization begins, inflation, foreign-exchange exposure and higher public-company costs.
- Controls: Management concluded disclosure controls were ineffective at September 30, 2023 because of material weaknesses involving accounting for complex equity arrangements and controls over accruals and unbilled revenue. Remediation is underway; effectiveness has not yet been demonstrated.
- Contingencies and unusual items: The filing reports no material legal proceedings. Registration-rights agreements could require cash payments of $1.3 million or $3.0 million if specified registration obligations are not met; no liability was recorded because management said the obligations were not probable. Business-combination costs and warrant remeasurement materially affected reported results.

- Cash burn, available liquidity and the assumptions supporting management’s stated one-year funding outlook, given the nine-month operating cash outflow.
