MacroGenics, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. MacroGenics is a clinical-stage biopharmaceutical company focused on antibody-based cancer therapeutics, with product sales, royalties, collaboration revenue and contract manufacturing activity. Financial amounts below are in millions unless otherwise noted.
Financial results and liquidity
| Metric | Q1 2024 | Q1 2023 / prior period |
|---|---|---|
| Total revenue | $9.1 | $24.5 |
| Operating expenses | $62.9 | $62.9 |
| Operating loss | $(53.8) | $(38.4) |
| Net loss | $(52.2) | $(38.0) |
| Basic and diluted loss per share | $(0.84) | $(0.61) |
| Cash used in operating activities | $(45.6) | $(12.8) |
- Revenue fell 63% year over year. Collaborative and other agreement revenue declined to $1.4 million from $16.7 million, primarily because Q1 2023 included $15.0 million of Incyte milestones. MARGENZA net product sales rose 40% to $4.9 million; contract manufacturing revenue fell 36% to $2.3 million.
- Research and development expense was essentially unchanged at $46.0 million. SG&A increased to $14.7 million from $13.5 million. The filing does not present a consolidated gross-margin measure; management says MARGENZA product-sales costs benefit from inventory previously expensed as R&D.
- At March 31, cash and cash equivalents were $80.4 million and marketable securities were $103.9 million, together $184.2 million, versus $229.8 million at December 31, 2023. Current assets were $202.6 million and current liabilities $55.8 million.
- Total liabilities were $142.1 million, including $34.0 million of lease liabilities and $79.0 million of deferred revenue. The filing reports no conventional borrowings.
- Investing activities provided $24.8 million, mainly from marketable-security maturities net of purchases. Financing activities provided $0.2 million; unlike Q1 2023, there were no royalty-sale proceeds or ATM stock sales.
Material changes and operating developments
- Net loss widened by $14.2 million year over year, mainly reflecting the absence of the prior-year Incyte milestone revenue and lower manufacturing and clinical-supply revenue, partly offset by higher MARGENZA sales and Gilead-related revenue.
- R&D spending increased for MGC028, lorigerlimab, other ADC programs and MGD024, while spending declined for tebotelimab, margetuximab, flotetuzumab, enoblituzumab and other programs. Flotetuzumab development had been discontinued.
- Gilead nominated the first research program under its collaboration in 2023; MacroGenics recognized $0.7 million of related revenue in Q1 2024. The agreement was amended in January 2024 on intellectual-property matters.
- Stock-based compensation was $5.6 million. Shares outstanding were 62.6 million at March 31; the company reported 62.6 million as of May 3, 2024.
Outlook, risks and contingencies
- Management expects cash, cash equivalents and marketable securities, together with anticipated and potential collaboration payments, product revenue, manufacturing revenue and royalties, to fund operations into 2026. Separately, the liquidity note says current resources are sufficient for at least 12 months from the filing date. These are estimates, not a guarantee.
- Planned funding needs include the Phase 2 TAMARACK trial of vobramitamab duocarmazine and the Phase 2 LORIKEET study of lorigerlimab in metastatic castration-resistant prostate cancer, as well as other clinical and preclinical programs. The company expects continued losses and negative cash flows.
- Funding depends in part on clinical and regulatory progress, collaboration performance and access to additional capital. If funding or collaboration arrangements are unavailable, MacroGenics may delay or reduce programs, cut expenses or downsize.
- Potential Incyte payments include $320 million in remaining development and regulatory milestones, $330 million in commercial milestones, and tiered royalties of 15%–24%, subject to development and sales outcomes. Gilead’s potential milestone pool is up to $1.7 billion, also conditional on options, development and commercialization.
- The Synaffix license covers up to seven ADC targets and could entail up to $2.8 billion in development, regulatory and sales milestones if all targets succeed, plus low-single-digit royalties. These are contingent amounts, not current reported liabilities.
- Management cited macroeconomic volatility, inflation, interest rates, geopolitical events and possible supply-chain disruption as risks. It reported no material changes to the risk factors in the 2023 Form 10-K, no material change in market-risk exposure, and no expected material adverse effect from ordinary-course legal proceedings, while noting an unfavorable outcome could affect results or cash flows.
Important facts for investors to verify
- Whether the clinical programs progress on expected timelines and whether trial results support further development.
- Actual cash burn, collaboration and manufacturing receipts, and whether the stated runway into 2026 remains achievable.
- Incyte and Gilead option, milestone, royalty and product-development progress, including the timing and variability of related revenue.
- MARGENZA sales trends and the duration of favorable product costs from previously expensed inventory.
- Potential dilution from equity compensation and the availability and terms of future financing.
