MoonLake Immunotherapeutics — 2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual report, not standalone fourth-quarter results. The comparison period is March 10, 2021 (inception) through December 31, 2021, so it is shorter and not directly comparable to a full year. The April 5, 2022 business combination with Helix was accounted for as a reverse recapitalization.
Business context
MoonLake is a clinical-stage biotechnology company with no approved products and no product-sales revenue. Its principal program is sonelokimab (SLK), an IL-17A/IL-17F inhibitor licensed exclusively from Merck Healthcare KGaA. The company is initially developing SLK for hidradenitis suppurativa (HS) and psoriatic arthritis (PsA); its strategy and results are therefore highly dependent on this single candidate.
Financial and operating metrics
| Metric | 2022 | Prior period |
|---|---|---|
| Revenue from product sales | None | None |
| Research and development expense | $42.0 million | $35.5 million |
| General and administrative expense | $23.0 million | $18.0 million |
| Total operating expenses / operating loss | $65.1 million | $53.6 million |
| Net loss | $64.5 million | $53.6 million |
| Net loss per share attributable to controlling-interest shareholders | $1.70 | $6.84 |
| Net cash used in operating activities | $55.9 million | $35.2 million |
The per-share figures and period comparisons reflect the filing’s accounting and share structure; the 2021 period was shorter. The reported 2022 loss included $9.7 million of share-based compensation. Research and development expense included an $8.0 million milestone charge to Merck and clinical-trial, supply and logistics costs. Management attributed higher G&A expense mainly to insurance, public-company costs and personnel growth.
- Liquidity: At year-end, cash and cash equivalents were $39.5 million, including $19.9 million of securities classified as cash equivalents; short-term marketable debt securities were another $32.6 million. Combined liquidity was $72.1 million. Current assets were $76.5 million and current liabilities $7.7 million.
- Cash flows: Operating activities used $55.9 million; investing activities used $32.3 million, primarily for marketable securities; financing activities provided $119.7 million, including $134.7 million of net business-combination proceeds and repayment of a $15.0 million loan.
- Debt and commitments: No short-term loans remained at December 31, 2022. Contractual obligations totaled $32.2 million, including $31.9 million of purchase commitments to research and manufacturing providers and $0.3 million of lease commitments. The Merck license also provides for potentially payable milestones and low-to-mid-teen royalties on net sales; these are contingent obligations, not current debt.
- Other: The company reported $0.6 million of other income, primarily from foreign-exchange gains and interest income, and $0.04 million of income-tax expense. No operating margin is meaningful given the absence of revenue.
Material developments and outlook
- Management estimated that year-end cash, cash equivalents and short-term marketable securities would fund operating and capital requirements into the second half of 2024. This is an estimate based on assumptions; the company expects significant losses for at least the next five years and will need substantial additional funding.
- The Phase 2 MIRA trial in HS began in May 2022. Enrollment was completed in February 2023, with a primary-endpoint readout expected in mid-2023. Its primary endpoint is HiSCR75; the trial includes placebo and adalimumab reference arms.
- The Phase 2 ARGO trial in PsA began in December 2022, with recruitment ongoing at filing. Its primary endpoint is ACR50; the trial also includes placebo and adalimumab reference arms. The filing anticipates 12-week primary-endpoint readouts for both trials.
- Earlier Phase 2b psoriasis data reported that 57% of patients in the highest-dose group achieved PASI 100 at week 24. The filing describes SLK as generally well tolerated in that study but notes Candida infections, consistent with the drug’s mechanism. Those results do not establish efficacy or safety in HS or PsA.
- Management does not currently plan to start Phase 3 trials in psoriasis, but may reassess. Successful Phase 2 results could lead to Phase 3 development, which management expects would materially increase costs.
- The company relies on third-party manufacturers and research organizations and has no manufacturing facilities. Drug-product technology transfer to Vetter was completed in 2022; drug-substance supply is contracted with Richter-Helm. Scale-up, quality, supply and regulatory acceptance remain risks.
- The Merck license carries up to EUR 307.1 million of potential milestone payments under the business description, while the notes describe up to EUR 299.6 million of additional milestones. The filing text does not reconcile these differing totals. The license also imposes development and commercialization diligence requirements and could be terminated for certain uncured breaches.
- Management said disclosure controls and internal control over financial reporting were effective at year-end and that a previously identified material weakness concerning review of complex transactions had been remediated. The auditor gave an unqualified opinion on the financial statements but did not attest to internal-control effectiveness.
Key risks and unusual items
Principal risks include clinical failure or delays, safety signals, competition (including other IL-17A/IL-17F therapies), dependence on the Merck license, reliance on external manufacturing and CROs, intellectual-property uncertainty, and the need to raise capital. The filing states there were no material legal proceedings. It also discloses a $0.6 million net loss attributable to noncontrolling interests in MoonLake AG and a dual-class structure: Class C shares carry votes but no economic rights.
Most important facts for investors to verify
- Whether the MIRA and ARGO trials met their prespecified endpoints, and the full efficacy, safety and discontinuation data—not only topline results.
- The actual cash burn and updated runway, including the impact of Phase 3 preparation, manufacturing scale-up and any additional financing or dilution.
- The precise remaining Merck milestone exposure: the filing presents different potential milestone totals, plus royalties and license diligence obligations.
- Clinical and commercial manufacturing readiness, CMO capacity, product quality and supply continuity.
- Share-count and voting/economic-rights effects of Class C conversions, equity compensation and other potential dilution.
- The filing’s inconsistent MIRA enrollment timing: most disclosures say enrollment completed in February 2023, while one risk-factor passage says February 2022.
