Q3 revenue grew 18.0% year over year: Clinical Services increased 20.1% to $127.6 million and Advanced Diagnostics increased 7.9% to $24.4 million. Management attributed Clinical Services growth to higher testing volume, more favorable test mix, and improved average unit pricing. Advanced Diagnostics growth reflected project timing. Gross margin improved as revenue grew, partly offset by higher compensation and supply costs.
For the first nine months, operating cash outflow was $19.7 million, compared with $62.3 million in the prior-year period. Investing activities provided $59.5 million, largely reflecting marketable-security maturities; financing activities provided $3.3 million. Cash and cash equivalents were $306.2 million at September 30, 2023, with $96.0 million of marketable securities. Working capital was $494.0 million.
Convertible notes had aggregate principal of $546.3 million: $201.3 million of 1.25% notes due May 2025 and $345.0 million of 0.25% notes due January 2028. Their combined carrying value, net of discounts and issuance costs, was $537.5 million, classified as long-term liabilities. Neither note series was convertible in Q4 2023 under the stated stock-price tests. The company reported no current portion of the notes on its balance sheet.

Outlook, management commentary, risks, and unusual items
- Management said cash, marketable securities, and expected collections should fund near-term operating and capital needs for at least 12 months. The filing does not provide clear revenue or earnings guidance.
- 2023 capital expenditures were forecast at $25–$35 million; $21.7 million had been spent through September 30. Management expects research and development spending to increase in future quarters and sales commissions to rise as new business is generated.

- The company has an $11.2 million reserve for a federal healthcare regulatory matter involving certain consulting and service agreements. The DOJ is leading the investigation; the company cannot estimate any potential loss beyond the reserve or predict the investigation’s scope or outcome.
- Natera patent-infringement suits involving InVisionFirst-Lung and RaDaR are in litigation, including a 2023 complaint against NeoGenomics Laboratories. A shareholder class action and related derivative actions are also pending. The company says outcomes are not estimable or probable at this time and believes it has defenses; no assurance of success is given.
- Other risks include reimbursement pressure, payer collections and denials, regulation of laboratory-developed tests, competition, execution of growth and restructuring plans, and the ability to manage debt and potential dilution. The company reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.

- Execution and final costs of the restructuring plan, including the expected additional $5.9 million and effects extending into 2024.
- Developments in the DOJ-led regulatory investigation and the patent and shareholder litigation, including any change to the $11.2 million reserve or disclosure of an estimable exposure.
- Debt repayment or refinancing plans for the $201.3 million notes due in May 2025, as well as the terms and potential dilution associated with both convertible-note series.
- Adjusted EBITDA is a non-GAAP measure and excludes specified costs; assess it alongside GAAP losses and cash flows.
