Material changes and notable items
- Omnipod 5 received FDA clearance in January 2022, began limited U.S. release in February, and reached full U.S. market release in August. Insulet received EU MDR CE Mark approval in September.
- U.S. Omnipod growth reflected higher Omnipod 5 and DASH volumes, customer growth, and pharmacy-channel expansion. The filing says pharmacy-channel sales have a higher average selling price in part because the PDM/Controller is provided at no charge.
- Gross margin declined mainly because of a $57.9 million net charge for voluntary medical device corrections, higher U.S. manufacturing costs, and higher Omnipod 5 production costs.
- SG&A rose 26.1% to $587.8 million. It included $25.2 million of legal charges related to a patent-litigation settlement, associated fees, and a contract-dispute settlement, as well as $3.4 million of former-CEO transition costs.
- In October and November 2022, Insulet issued voluntary corrections related to DASH PDM batteries and Omnipod 5 Controller charging. The year-end warranty liability was $62.1 million, including a $54.6 million reserve related to the corrections.
- A distributor associated with a director’s spouse generated $249.9 million of 2022 revenue, versus $58.2 million in 2021; the filing states the distribution agreement’s terms are consistent with arm’s-length terms.
- Insulet settled Roche patent litigation for $20.0 million. It also paid $25.0 million under an agreement with Automated Glucose Control LLC to acquire technology and patents and release future obligations; $3.6 million was recorded as a settlement expense.
Liquidity, debt, and cash flow
At year-end, Insulet had $674.7 million in cash and cash equivalents and $1.40 billion in total debt, including $800 million of 0.375% convertible senior notes due in 2026 and a term loan due in 2028. No borrowings were outstanding under its $100 million revolving credit facility. Management said current liquidity should cover projected operating, investing, and debt-service needs for at least the next 12 months.
Operating cash flow was $119.0 million; investing activities used $191.1 million and financing activities used $40.3 million. Cash, cash equivalents, and restricted cash decreased by $116.7 million. The company reported $260.9 million in purchase obligations, in addition to debt, interest, and lease commitments.
Outlook, risks, and management commentary
- Management expects strong Omnipod revenue growth in 2023, led by U.S. Omnipod 5 adoption and pharmacy-channel volume. It expects higher international Omnipod revenue, partly offset by competition and unfavorable currency effects; Drug Delivery revenue is expected to decline on lower partner demand. No numerical 2023 revenue-growth guidance is provided.
- Management forecast 2023 gross margin of 65%–66%. It expects improvement as most 2022 correction costs do not recur, partly offset by U.S. manufacturing scale-up, Omnipod 5 costs, and inflation.
- Insulet expected 2023 R&D and SG&A spending to increase. It planned U.K. and Germany Omnipod 5 launches in 2023, broader international rollout in 2024, and expected to begin Malaysia production in 2024.
- Management expects 2022 supply-chain disruption and inflation to continue pressuring costs, while citing inventory and other mitigation measures. Key exposures include reliance on China-based contract manufacturing, limited or sole-source components, capacity execution, and international currency risk.
- Other major risks include device quality or regulatory actions, reimbursement and customer retention, competition in automated insulin delivery, cybersecurity and privacy, and substantial debt. Insulet disclosed a vulnerability affecting Classic Omnipod communications; it said the vulnerability does not exist in DASH or Omnipod 5.
- After year-end, Insulet paid $25 million for insulin-pump patents from Bigfoot Biomedical in February 2023. The filing also notes a separate mutual patent non-assert agreement with Medtronic entered in October 2022.
