Quantum Corporation — Form 10-Q Summary
Reporting period: Second quarter and first six months of fiscal 2024, ended September 30, 2023. This is a later-filed report dated September 5, 2024, containing restated financial information; its liquidity discussion was not updated for later events and should be read with the company’s subsequent filings, including its June 2024 quarter filing.
Business context and financial results
Quantum provides storage and data-management products, services, subscriptions, and royalties, including solutions for video and other unstructured data. It reports one operating segment.
| Metric | Three months ended September 30, 2023 | Six months ended September 30, 2023 |
|---|---|---|
| Revenue | $75.7 million, down 25% year over year | $168.2 million, down 16% |
| Gross profit / margin | $32.7 million / 43.3%, versus $29.3 million / 29.1% | $68.4 million / 40.7%, versus $65.1 million / 32.6% |
| Operating loss | $3.7 million, versus $9.7 million | $8.9 million, versus $15.1 million |
| Net loss | $3.3 million, or $0.04 per basic share | $12.5 million, or $0.13 per basic share |
| Cash from operations | Not separately provided for the quarter in the summarized cash-flow statement | Cash used: $11.3 million, versus $17.9 million |
Quarterly revenue fell primarily because of lower demand from large hyperscale customers and weakness in the linear-tape open media market. Product revenue declined 33% to $42.9 million; service and subscription revenue declined 7% to $30.5 million; royalty revenue declined 36% to $2.2 million. Gross margin improved, which management attributed to product mix, operational and logistics efficiencies, lower service-support overhead, and a $6.9 million inventory reserve in the prior-year comparison period. The six-month results show similar revenue weakness, partly offset by higher gross margins and lower operating expenses.
Cash, debt, and liquidity
At September 30, 2023, cash and cash equivalents were $25.6 million. Total debt was approximately $109.4 million: $87.9 million under the Term Loan and $21.5 million under the PNC revolving facility. Only $1.3 million was available to borrow under that facility. The balance sheet showed $134.1 million of current assets and $231.3 million of current liabilities, including $104.1 million of current debt; stockholders’ deficit was $94.4 million.
For the six months, investing activities used $3.9 million, primarily for capital expenditures, while financing activities provided $14.8 million, primarily from Term Loan borrowings. Cash, cash equivalents, and restricted cash decreased by $0.4 million. Interest expense increased to $7.1 million from $4.8 million, reflecting a higher effective Term Loan rate; the Term Loan rate was 11.50% at quarter-end.
The filing says the company expected to violate its net-leverage covenant at the June 30, 2024 testing date, potentially triggering an event of default, and therefore classified the Term Loan and PNC borrowings as current. The report also notes subsequent credit amendments and expressly cautions that its liquidity discussion does not incorporate later developments. Investors should consult the subsequent filings for the amended terms and current liquidity position.
Restatement, outlook, risks, and contingencies
- Restatement: The company revised its application of standalone selling price under ASC 606 and reclassified lender warrants as liabilities under ASC 815, with changes in warrant fair value recorded in earnings. The errors were deemed material to previously issued fiscal 2023 and 2022 statements. For the September 2022 quarter, restatement increased reported revenue by $1.4 million and reduced the reported net loss by $4.5 million. The current-period statements are also presented as restated.
- Warrants and earnings: A noncash gain from changes in warrant-liability fair value was $4.4 million for the quarter and $5.1 million for the six months, reducing reported losses. Warrant liabilities were $4.1 million at September 30, 2023.
- Outlook and operating conditions: No formal financial guidance is provided. Management cited longer enterprise and commercial sales cycles and uncertainty relating to higher interest rates, inflation, supply-chain challenges, foreign exchange, and macroeconomic and geopolitical conditions.
- Controls: Management concluded disclosure controls were ineffective because of material weaknesses concerning ASC 606 standalone selling prices, warrant classification, and sales-order data review. The sales-order weakness had not caused a reported misstatement but could create one.
- Other exposures: Non-cancelable inventory purchase commitments were $26.9 million. Arrow Electronics sued Quantum seeking just over $4.6 million; Quantum denied the allegations and said a material adverse effect was remote. A separate patent dispute with Realtime Data was settled after dismissal with prejudice. The company reported $98.2 million of unrecognized tax benefits, including interest and penalties.
Important facts for investors to verify
- Review later filings and the August 2024 credit amendments for covenant waivers, debt maturity and classification, lender rights, and updated liquidity; this report’s liquidity discussion is stale.
- Assess the restatement’s full effects across periods and the company’s remediation of the accounting and sales-order control weaknesses.
- Track revenue trends in hyperscale customers, secondary storage, tape media and royalties, alongside the sustainability of improved gross margins.
- Evaluate cash burn, borrowing availability, debt service costs, and the impact of lender warrants and further financing on potential dilution.
- Monitor the Arrow litigation, inventory commitments, tax exposures, and any subsequent developments not reflected in this report.
