  • Segment trends: Q3 Mobile Products revenue fell 6.2% to $602.3 million, while Infrastructure and Defense Products revenue grew 13.5% to $230.0 million. IDP operating income rose 27.8%; MP operating income declined 5.5%.
  • Cash flow and investment: Nine-month operating cash flow was $623.0 million, versus $593.6 million. Capital expenditures were $185.6 million for the nine months; Q3 capex was $72.0 million. Nine-month free cash flow, calculated as operating cash flow less property and equipment purchases, was approximately $437.4 million.
  • Liquidity: At December 29, cash and equivalents were $649.7 million and working capital was approximately $1.202 billion, down from $926.0 million and $1.403 billion, respectively, at March 31, 2018. About $603.7 million of cash was held by foreign subsidiaries.
  • Debt: Long-term debt carrying value was $714.4 million, compared with $983.3 million at March 31. The balance included $630.0 million of 5.50% notes due 2026 and $91.0 million of 7.00% notes due 2025. No amounts were outstanding under the $300 million revolving facility; Qorvo reported covenant compliance.

Material changes and unusual items

  • Q3 revenue declined primarily because of weaker cellular RF demand from Qorvo’s largest end customer and Asian customers, partly offset by stronger base-station demand. For the nine months, growth reflected higher China cellular RF, base-station and Wi-Fi demand.
  • Q3 gross margin improved on favorable product mix, partly offset by lower utilization at SAW wafer fabrication facilities. Qorvo initiated a restructuring to reduce costs and improve manufacturing efficiency, including a phased Florida fab closure and idling production at a Texas fab. It recorded $14.9 million of impairment and $3.1 million of accelerated depreciation in Q3.
  • Management expects further restructuring charges over the next four quarters: $60–$70 million of accelerated depreciation, $10–$20 million of employee termination benefits and $5–$10 million of other exit costs.
  • Qorvo refinanced and repurchased debt during the period, issuing $630 million of 2026 notes and retiring the 2023 notes and much of the 2025 notes. The transactions extended the weighted-average maturity of senior notes by 17 months; management expects annual interest expense to decline by approximately $27.4 million. The nine-month $85.0 million other expense included an $84.0 million debt-extinguishment loss.
  • Tax effects were unusually significant: Q3 2017 included $98.5 million of tax expense associated largely with the Tax Act, while Q3 2018 tax expense was $1.4 million. The nine-month 2018 tax benefit was $30.0 million, including Tax Act measurement-period adjustments. These effects make reported net income comparisons less indicative of operating trends.
  • Qorvo repurchased 4.6 million shares for $338.7 million over nine months; $697.2 million remained under the current authorization at quarter-end. It also reported $89.0 million of capital commitments.

Outlook, risks and contingencies

The filing provides no specific revenue or earnings guidance. Management said existing cash, operating cash flows and the credit facility should be sufficient for short- and long-term needs, while noting that materially lower demand or faster-than-expected growth could make operating cash flows insufficient. Key disclosed risks include customer and distributor demand and inventory forecasting, dependence on a limited number of customers, semiconductor and macroeconomic downturns, trade disputes and tariffs, manufacturing utilization and yields, supplier reliance, product competition and rapid technology shifts, and tax and foreign-exchange exposures. Qorvo said ordinary-course legal proceedings were not expected to have a material adverse effect; tax audits could result in additional liabilities. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting reported for the quarter.

Investor verification points

  • Track demand and customer concentration in Mobile Products, especially the largest customer and Asian markets, against stronger IDP and base-station demand.
  • Assess the timing, execution and full cost of the Florida and Texas manufacturing actions, including expected depreciation and exit charges.
  • Review cash availability and potential repatriation taxes, given the substantial foreign-held cash balance.
  • Confirm the projected interest savings and debt maturity profile after refinancing, and monitor remaining 2025 notes and facility covenant compliance.
  • Separate underlying operating performance from debt-extinguishment and Tax Act-related effects when comparing earnings periods.
