Reservoir Media, Inc. annual report, FY2023

Reservoir Media, Inc. — FY2023 Form 10-K

Business context and reporting period. Reservoir is an independent music company with Music Publishing and Recorded Music segments, representing more than 150,000 copyrights and 36,000 master recordings. This filing reports the fiscal year ended March 31, 2023, compared with the year ended March 31, 2022; it does not provide a separate Q4 results summary. The company’s publishing catalog and songwriter roster generate royalties from digital, performance, synchronization, mechanical and other uses; recorded music revenue comes from digital, physical, neighboring-rights and synchronization uses.

Financial performance and liquidity

MetricFY2023FY2022
Revenue$122.3 million$107.8 million
Operating income$21.1 million$19.4 million
Net income attributable to Reservoir$2.5 million$13.1 million
Diluted EPS$0.04$0.22
Operating cash flow$31.2 million$12.5 million
Cash used in investing activities$72.2 million$196.8 million
  • Revenue rose 13%. Music Publishing contributed $83.8 million (69% of revenue), up 9%; Recorded Music contributed $34.8 million (28%), up 18%; other revenue was $3.6 million, largely artist management activity.
  • Digital revenue across the business increased 20% to $67.1 million, or 55% of consolidated revenue. Publishing synchronization revenue was $15.6 million; the company said synchronization represented 15% of total revenue.
  • Cost of revenue was $48.0 million, or 39% of revenue versus 41% in FY2022. Administration expenses rose 23% to $31.2 million, or 25% of revenue versus 23%. Amortization and depreciation increased 16% to $22.1 million.
  • Reported OIBDA, a non-GAAP measure, was $43.1 million, up 12%; OIBDA margin was 35% versus 36%. Adjusted EBITDA was $46.3 million, up 12%, with a 38% margin in both years. These non-GAAP measures are not substitutes for GAAP results or cash flow.
  • Net income fell 79%, primarily reflecting a smaller non-cash gain on interest-rate swaps, higher interest and tax expense, and a $0.9 million loss on early debt extinguishment; higher operating income partly offset those items. The effective tax rate rose to 66.9% from 24.5%, including approximately $3.6 million of incremental deferred tax expense from a revised U.K. tax-rate estimate.
  • Operating cash flow improved, with management citing lower working-capital cash use, including timing of royalty advances, receivables and payables. Catalog purchases were $71.8 million, compared with $194.2 million in FY2022, which included the Tommy Boy acquisition.
  • At March 31, 2023, cash was $14.9 million. Facility borrowings were $317.8 million gross, or $311.5 million net of deferred financing costs; remaining availability under the $450 million senior secured facility was $132.2 million. The facility matures December 16, 2027. The company reported compliance with its financial covenants.

Material changes and management commentary

  • Recorded Music growth reflected Tommy Boy, acquired in June 2021, as well as continuing digital streaming growth. Tommy Boy contributed $15.2 million of Recorded Music revenue in FY2023 versus $10.8 million in FY2022. Physical Recorded Music revenue declined 6%, partly because FY2022 had a larger release schedule.
  • Publishing growth came from catalog acquisitions and existing catalog performance, including increases in digital, synchronization, mechanical and performance revenue. Other publishing revenue declined because Dubai Expo revenue recorded in the prior year did not recur.
  • U.S. revenue increased 27%, while international revenue declined 2%; the filing cites an updated estimate of U.S. mechanical royalties following a Copyright Royalty Board ruling and unfavorable pound-to-dollar exchange effects on Chrysalis revenue as factors in mix changes.
  • In December 2022, Reservoir increased its credit facility commitment from $350 million to $450 million, extended maturity to December 2027, moved the benchmark from LIBOR to SOFR, and revised financial covenants. In April 2023, it entered a further $100 million interest-rate swap effective September 2024.
  • Management said available cash, operating cash flows and facility availability should support existing operations for the next 12 months. The filing provides no specific revenue, earnings or cash-flow guidance. Management intends to continue pursuing catalog acquisitions and songwriter and artist roster growth, subject to market conditions and financing capacity.

Risks, contingencies and unusual items

  • Controls: Management concluded disclosure controls and internal control over financial reporting were not effective at March 31, 2023 because of material weaknesses involving segregation of duties, qualified accounting resources for complex matters, and risk assessment/control design. Remediation was ongoing and not yet complete. The auditor gave an unqualified opinion on the financial statements but did not audit or opine on internal-control effectiveness.
  • Debt and rates: Borrowings are substantial, largely variable-rate, secured by substantially all relevant group assets, and subject to restrictive covenants. Higher rates, refinancing constraints or covenant noncompliance could pressure liquidity. Existing swaps reduce some rate exposure but are marked to market through earnings.
  • Business and rights risks: Results depend on streaming and licensing terms, a limited number of digital services, catalog and artist performance, acquisition execution, copyright enforcement, and maintaining rights. The company also cites piracy, possible artist recapture rights, intellectual-property disputes, cybersecurity and privacy, international operations and foreign-exchange exposure.
  • Concentration: Three customers represented approximately 43% of accounts receivable at year-end. One external customer represented 10% of FY2023 revenue.
  • Contingencies: Reservoir is subject to ordinary-course claims and litigation; management said existing matters were not expected to have a material adverse effect, while noting outcomes are inherently uncertain. Acquisition-related contingent obligations may differ from current estimates. The filing reports $10.6 million of asset-acquisition and share-purchase commitments and $2.6 million of artist/songwriter advance commitments, among other obligations.
  • Other unusual items: The FY2023 tax charge was elevated by the U.K. deferred-tax estimate change; the year also included a debt-extinguishment loss and a materially lower swap fair-value gain than FY2022. COVID-19 effects were described as continuing to influence some revenue streams, although management also cited post-pandemic touring and merchandise recovery.

Important facts for investors to verify

  • Whether the material weaknesses are remediated and controls are operating effectively, and whether timely, reliable reporting is sustained.
  • Whether digital and catalog-driven growth can continue to offset softer physical revenue, publishing mix changes and currency impacts.
  • Debt balances, interest costs, covenant headroom, borrowing availability and the effectiveness and accounting impact of interest-rate swaps.
  • The repeatability of FY2023 cash flow and earnings, including working-capital timing, acquisition spending, the one-time U.K. tax-rate adjustment and non-cash swap gains.
  • Catalog acquisition returns, royalty-advance recoverability, customer concentration, copyright and artist recapture exposures, and any material developments in litigation or contingent commitments.
