Sinclair reported consolidated results for local media, Tennis Channel and other businesses. Material changes and notable items
- Political advertising increased with the 2024 election cycle; management describes political spending as cyclical and typically higher in even-numbered years. Core advertising weakness was attributed in part to lower entertainment and medical-category spending.
- Sinclair reached a court-approved settlement of Diamond Sports Group litigation for $495 million, without admission of fault. It paid $50 million in Q1 and accrued $445 million at March 31; the remaining amount was paid April 30. Sinclair also agreed to provide transition services to DSG.
- Estimated contractual amounts owed for network programming rights increased by $1.569 billion under agreements extending into 2027.
- Sinclair declared a $0.25-per-share quarterly dividend in February and again in May, with the May dividend payable June 17, 2024.
- Management cited multi-year distribution and affiliation agreements, including renewals with FOX, Verizon, NCTC and Charter; a Cox agreement was announced in May. Sinclair also reported deployment of NextGen TV in 44 markets and announced its Broadspan datacasting platform in April.
Outlook, risks and contingencies
Management expects cash, operating cash flow and available borrowing capacity to cover local-media debt service, capital expenditures and working capital for the next 12 months; it expects cash and cash flow from Tennis and other operations to cover their needs and the DSG settlement. These expectations depend on operating performance and continued access to financing. No numerical revenue or earnings guidance is provided.
Risks highlighted include advertising demand, distributor subscriber trends and negotiations, programming costs, competition from streaming services, interest expense and debt restrictions, regulatory and FCC matters, and economic or geopolitical disruption. A regional sports network guarantee has a maximum annual amount of $117 million, escalating 4% annually for five years; management said performance under it was not probable as of March 31. The filing also describes pending FCC matters and a continuing class-action antitrust case; Sinclair says it intends to defend the latter. The company reported no material changes to previously disclosed risk factors and concluded disclosure controls were effective at the reasonable-assurance level.
