Semtech Corporation — FY2018 Form 10-K Summary
Business context and reporting period
Semtech designs and sells analog and mixed-signal semiconductors and related algorithms for enterprise computing, communications, high-end consumer, and industrial markets. This annual report covers the 52-week fiscal year ended January 28, 2018; it is not a standalone quarterly filing. The fourth quarter ended January 28, 2018.
In July 2017, Semtech acquired AptoVision, a video-over-IP solutions provider, for $17.6 million net of acquired cash, with contingent consideration of up to $47.0 million. Its results since acquisition were not material to consolidated results.

Material changes versus the prior comparable period
- Annual sales increased 8%. Enterprise computing sales rose 17% and high-end consumer sales rose 29%; communications sales fell 28%. Management attributed growth to optical demand, broader adoption of protection and proximity-sensing products, and LoRa technology adoption, while communications weakness reflected lower surveillance-system and base-station demand.
- Gross margin edged up from 59.7% to 59.9%, supported by product mix, partly offset by the Comcast warrant charge recorded as a reduction to sales: $16.2 million versus $5.4 million in FY2017.
- Operating income declined about 18% and net income about 33%. FY2017 included a $25.5 million gain on the Snowbush IP divestiture; FY2018 also had higher SG&A, restructuring expense, amortization, and contingent earn-out expense.
- Operating cash flow declined to $111.5 million from $117.6 million. Year-end cash increased to $307.9 million, while debt was $228.3 million.
- The effective tax rate increased to 38.9% from 25.2%, primarily due to provisional accounting for the December 2017 U.S. Tax Cuts and Jobs Act. FY2018 included a provisional $2.1 million transition-tax expense, net of valuation allowance, and an estimated $1.1 million current tax liability.
Outlook, commentary, risks, and unusual items
- Management expected FY2019 gross margin to remain consistent with FY2018. It cited potential demand from datacenter upgrades, metro communications infrastructure and wireless base-station deployments, particularly in China, and IoT applications. FY2019 capital expenditures were expected to be flat with FY2018, subject to demand.
- Management stated it had resources to meet business requirements for the next 12 months. It also noted that rising 30-day LIBOR could raise FY2019 interest costs by about $2.3 million for a 100-basis-point increase.
- International and customer concentration are notable: foreign sales were 91% of revenue, China (including Hong Kong) represented 51%, and distributors accounted for 66%. Arrow Electronics and Trend-tek each represented 11% and 10% of sales, respectively.
- Semtech relies on a limited number of overseas foundries and subcontractors; one Chinese foundry supplied about 20% of wafer requirements by cost. Supply interruption, trade restrictions, customer demand volatility, pricing pressure, and distributor termination are identified risks.
- The company recorded $6.3 million of restructuring expense. AptoVision’s earn-out liability was valued at $21.0 million at year-end and depends on performance estimates. Management expected no Triune earn-out payments because targets were not met.
- For groundwater and soil remediation at a former California facility, management estimated probable losses of $4.4 million to $7.2 million, could not identify a best estimate, and recorded the minimum amount; the balance sheet lists an environmental reserve of $2.6 million.
- Of foreign earnings, $453.6 million remained designated for indefinite reinvestment; Semtech said it expected to remit approximately $240.0 million in the foreseeable future. Tax Act accounting remained provisional and subject to completion within the permitted measurement period.
- The independent auditor gave an unqualified opinion on the financial statements and internal control over financial reporting; management also concluded disclosure controls were effective.
Important facts for investors to verify
- Whether FY2019 demand and margin expectations materialized, particularly in China, datacenter, communications, and IoT markets.
- The underlying earnings trend excluding the Snowbush divestiture gain and considering the Comcast warrant’s revenue offsets and restructuring costs.
- Customer, distributor, geographic, and foundry concentration, including exposure to China and any subsequent changes in trade or export restrictions.
- Final Tax Act accounting, cash taxes, repatriation plans, and the status of the Swiss tax holiday and U.S. deferred-tax valuation allowance.
- Performance and final payments associated with AptoVision and Cycleo earn-outs, and the progress and cost of environmental remediation.
