Tucows Inc. — FY2023 Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2023; filed April 1, 2024. This is an annual report, not a standalone fourth-quarter earnings release. Tucows operates Ting (U.S. fiber and fixed wireless internet), Wavelo (telecom software and services), and Tucows Domains (domain registration and related services).
Financial and operating performance
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $339.3 million | $321.1 million |
| Gross profit / gross margin | $66.7 million / 19.7% | $78.2 million / 24.4% |
| Operating income (loss) | $(63.7) million | $(31.7) million |
| Net income (loss) | $(96.2) million | $(27.6) million |
| Basic and diluted EPS | $(8.85) | $(2.56) |
| Adjusted EBITDA (non-GAAP) | $15.5 million | $37.6 million |
| Cash from operating activities | $(4.8) million | $19.9 million |
| Cash used in investing activities | $92.6 million | $137.5 million |
- Revenue grew 6%, driven by Ting and Wavelo. Ting revenue rose 20% to $50.9 million; accounts under management increased to 43,000 from 35,000, excluding Simply Bits acquisition-related additions.
- Wavelo revenue increased 59% to $38.7 million, primarily as DISH’s Boost Mobile subscribers completed migration to its platform. DISH generated $36.2 million, or 10.7% of total revenue.
- Tucows Domains revenue declined 0.4% to $242.1 million. Domains under management increased less than 1% to 24.56 million. Lower expiry-auction and other value-added-service proceeds offset modest growth in domain services.
- Costs grew faster than revenue: total cost of revenues rose 12% to $272.7 million, including higher network costs and depreciation and a $4.8 million impairment of property and equipment. Sales and marketing rose 26% to $67.8 million; technical operations and development rose 35% to $19.2 million.
- Adjusted EBITDA fell 59%. Management attributed the decline principally to Ting’s network investment and costs, lower mobile-services contribution and weaker Domains value-added proceeds; Wavelo’s contribution improved.
Debt, liquidity and capital needs
- At December 31, 2023, cash and cash equivalents were $92.7 million; restricted cash and secured-notes reserve funds totaled a further $12.3 million. Total cash, restricted cash and reserve funds were $105.0 million, including $94.7 million attributed to Ting and $10.3 million to the other Tucows businesses.
- Current assets were $242.8 million and current liabilities $201.3 million. Operating cash flow was negative despite $12.5 million of net working-capital inflows.
- At year-end, the revolving facility had $211.9 million principal outstanding, due in 2026. The Ting securitized notes had $238.5 million principal outstanding, with an anticipated repayment date in April 2028; their stated annual rates range from 5.95% to 9.95%. The notes are secured by specified fiber-network assets and related contracts.
- Generate preferred units had a $111.4 million balance-sheet carrying value at year-end. They accrue a 15% preferred return, adjustable within a 13%–17% range. Further funding is milestone-dependent; $108.5 million of additional commitments was reported as available in the filing.
- FY2023 investing cash use included $92.1 million of property and equipment additions, mainly for Ting fiber expansion. The filing says Ting expects current funds and remaining commitments to cover its stated next-12-month commitments, but continued longer-term footprint expansion is expected to require further debt or equity financing.
Outlook, risks and unusual items
- The filing gives no consolidated FY2024 revenue, earnings or cash-flow guidance. Excluding foreign-exchange movements, management expects sales and marketing, technical operations and development, and general and administrative expenses to increase in absolute dollars in FY2024.
- On February 7, 2024, Ting announced a restructuring affecting 72 employees, approximately 13% of Ting’s workforce and 7% of the Company’s total workforce, intended to reduce year-over-year operating expenses. The filing describes potential implementation, disruption and upfront-cost risks but does not provide a quantified savings target.
- FY2023 net loss included $41.8 million net interest expense and a $14.7 million loss on extinguishment associated with Generate preferred-unit redemption. The redemption involved a $14.7 million make-whole premium; the Company reported $17.0 million of income during the year from the 10-year DISH transferred-subscriber payment stream.
- Funding and covenant headroom are significant risks. The revolving facility has leverage and interest-coverage tests, while Ting’s preferred financing depends on milestones and carries substantial preferred returns. The Company also faces construction-cost, subscriber-penetration, interest-rate and refinancing risks.
- Customer and receivables concentration warrant attention: DISH is Wavelo’s principal external customer. The MD&A states DISH represented 59% of accounts receivable at year-end, while the revenue note says one customer represented 39%; the filing text does not clearly reconcile these figures.
- Management identified a material weakness in internal control over financial reporting involving IT program-change management and user-access controls. Management and the auditor concluded controls were ineffective at December 31, 2023; the auditor issued an adverse opinion on internal control, while expressing an unqualified opinion on the financial statements. Remediation is underway, with completion timing not estimated.
- Other notable exposures include an accrued $0.3 million in penalties for a mobile-network minimum-commitment shortfall, expected to continue if subscriber growth remains limited; foreign-exchange exposure; cybersecurity and regulatory risks; and potential impairment of substantial goodwill and intangible assets. No goodwill or intangible-asset impairment was recorded in 2023.
- The Board authorized a new share repurchase program of up to $40 million, running from February 23, 2024 through February 22, 2025. No shares were repurchased under the prior 2023 program. The Company paid no common-stock dividends in 2023 or 2022.
Most important facts for investors to verify
- Reconcile the filing’s conflicting accounts-receivable concentration disclosures (59% in MD&A versus 39% in the revenue note), and confirm DISH’s current receivable balance and collection status.
- Review the latest covenant calculations, borrowing availability and cash that is restricted or held in trustee-controlled accounts; distinguish reported cash from funds available for general corporate use.
- Track Ting’s build-out spending, serviceable-address growth, customer penetration, restructuring costs and realized savings against the financing milestones for further Generate funding.
- Assess the cash burden and terms of the 15% preferred return, make-whole provisions, secured notes and 2026 revolving-facility maturity, including refinancing needs.
- Monitor remediation and independent testing of the disclosed material weakness, as well as any subsequent financial-reporting or audit-control developments.
- Evaluate whether Wavelo can diversify beyond DISH and sustain platform revenue, while Domains manages modest domain-count growth, registry-cost inflation and weaker expiry-auction proceeds.
