Tilray Brands, Inc. — FY2024 Form 10-K Summary
Reporting period: Fiscal year ended May 31, 2024. Although the request metadata refers to “2023 Q4,” this filing is an annual report for FY2024, not a standalone quarterly filing. Unless noted otherwise, amounts are U.S. dollars.
Business context
Tilray operates in four segments: beverage alcohol, cannabis, pharmaceutical distribution, and wellness. FY2024 included the HEXO acquisition, the purchase of the remaining interest in Truss, and the acquisition of eight craft beverage brands and related assets from Anheuser-Busch. Tilray sold Truss in May 2024.

Revenue increased 26%, primarily reflecting acquisitions and growth in adult-use cannabis. Segment revenue was beverage alcohol $202.1 million (up 113%), cannabis $272.8 million (up 24%), distribution $258.7 million (essentially flat), and wellness $55.3 million (up 5%). The U.S. represented $233.1 million of revenue, up 89%.
At May 31, 2024, long-term debt had a net carrying amount of $173.9 million and convertible debentures had a carrying amount of $129.9 million; bank indebtedness was $18.0 million. Total liabilities were $778.5 million. The balance sheet included $2.0 billion of goodwill and $915.5 million of intangible assets. The filing lists $408.0 million of scheduled debt, convertible-debenture, material-purchase, and construction commitments; lease obligations are reported separately.
Material changes versus the prior year
- Revenue growth reflected the acquired craft beverage portfolio and HEXO and Truss, as well as higher adult-use, wholesale, and international cannabis revenue. FY2023 adult-use cannabis revenue included $40.4 million of HEXO advisory fees, compared with $1.5 million in FY2024.
- Net loss narrowed substantially, mainly because FY2023 included $934.0 million of non-cash impairment charges that did not recur. FY2024 still included a $42.7 million non-cash write-down of the MedMen convertible notes.
- Cash and marketable securities fell $188.0 million. Operating cash flow turned negative, partly due to settlement of assumed HEXO pre-acquisition liabilities and the absence of significant prior-year cash receipts.
- Adjusted gross margin declined from 33% to 30%. Beverage alcohol adjusted margin fell to 46% from 53%, reflecting lower margins and temporary excess capacity at acquired breweries. Cannabis adjusted margin fell to 36% from 51%, reflecting the end of higher-margin HEXO advisory services, sales mix, and Canadian price compression.
- Tilray achieved $35.4 million of annualized HEXO cost savings, including $26.2 million realized during the year. Management had identified a target range of $30 million to $35 million in annualized pre-tax savings.
Outlook, commentary, risks, and unusual items
- The filing provides no numerical FY2025 revenue or adjusted EBITDA guidance. Management says it is focused on positive operating cash flow and free-cash-flow generation, cost reduction, integration, and profitable growth; it believes available liquidity and access to financing can meet needs, while noting additional financing may be needed for longer-term ambitions.
- Management expects continued Canadian cannabis price pressure and volatility in wholesale sales. Canadian cannabis adjusted margin is exposed to competition, consumer preferences, product mix, and excise taxes. Tilray reported that its Canadian market share slipped from 11.6% to 10.4% in the latest quarter.
- Management views German medical-cannabis reforms as an opportunity and reported increased prescriptions and demand after regulatory changes took effect in April 2024. U.S. cannabis rescheduling and legalization remain uncertain; federal U.S. marijuana prohibition limits Tilray’s direct cannabis activities there.
- The $32.0 million MedMen note investment is exposed to recovery risk: MedMen entered insolvency proceedings and asset sales or restructuring could further affect its value. Tilray recorded a $42.7 million write-down in FY2024.
- Assets held for sale totaled $32.1 million, including Quebec cultivation, the former Broken Coast Duncan facility, and a Fort Collins warehouse. The company recorded $15.6 million in restructuring costs, $15.5 million in transaction costs, and $8.3 million in litigation costs.
- Litigation accruals were $24.4 million. Significant proceedings include legacy securities class actions and commercial disputes; management says outcomes are uncertain and unfavorable resolutions could be material. A Canadian arbitration awarded approximately CAD $20.0 million plus interest against a subsidiary, which subsequently entered bankruptcy.
- Potential dilution and financing are notable: common shares outstanding increased to 831.9 million at year-end and were 843.0 million as of July 25, 2024. The company has a $250 million at-the-market equity program; it issued shares for $15.1 million net proceeds after year-end through June 13, 2024. Outstanding warrants have an adjusted $1.61 exercise price and anti-dilution provisions.
- FY2024 cash from investing activities was positive largely because of marketable securities sales. This should not be confused with recurring operating cash generation. Adjusted EBITDA is a non-GAAP measure and increased only 3%.
- The independent auditor issued an unqualified opinion on the financial statements and internal control over financial reporting. Management and the auditor excluded specified recently acquired operations from the FY2024 internal-control assessment under acquisition-related relief.
Important facts for investors to verify
- How much of FY2024 revenue growth and future earnings depends on acquisitions, and whether the craft portfolio can improve capacity utilization and margins.
- Whether cash conversion improves, given negative operating cash flow, lower cash and securities, and scheduled debt and purchase commitments.
- Progress toward realizing the remaining HEXO synergies and other cost reductions, including the results of facility sales and rationalization.
- The recoverable value of the MedMen notes and the outcome and potential financial exposure of material litigation and contingencies.
- The effect of share issuance, convertible securities, warrants, and the ATM program on future dilution and per-share results.
- Whether Canadian cannabis pricing, excise taxes, market share, and international regulatory developments support management’s growth and margin expectations.
