GAAP results include $23.6 million of non-operating income, versus $18.4 million of non-operating expense a year earlier. This swing chiefly reflected a $27.6 million foreign-exchange hedging gain related to the Transporeon acquisition and higher divestiture gains, partly offset by higher interest expense. Non-GAAP operating income was $226.1 million, down 3%; non-GAAP diluted EPS was $0.72 versus $0.73. These are company-defined non-GAAP measures.
Cash and cash equivalents were $1.038 billion at quarter-end, up from $271.0 million at year-end 2022. Principal debt was $2.1 billion, compared with $1.525 billion at year-end; balance-sheet debt was $2.087 billion after unamortized discount and issuance costs. The company issued $800 million of 6.1% senior notes due 2033 during the quarter. The $300 million of notes due June 2023 was classified as short-term debt. No amounts were outstanding on the $1.25 billion revolving credit facility at quarter-end, and the company reported compliance with debt covenants.
Cash flow from investing activities was an outflow of $27.7 million, including $33.3 million for acquisitions, net of cash acquired. Financing activities provided $583.4 million, largely reflecting debt issuance and repayment activity. Deferred revenue was $760.8 million; remaining performance obligations were approximately $1.6 billion, of which 72% was expected to be recognized in the next 12 months.
Changes versus the prior comparable period
- Organic revenue declined 3%: product revenue fell 15% organically, while subscription and services revenue grew 14% organically. The overall decrease reflected dealer inventory reductions and softer hardware demand.
- Gross margin improved despite lower revenue, attributed to higher software and subscription mix, divestiture of lower-margin hardware businesses, lower supply-chain costs, and pricing increases.
- Operating expenses rose 8% to $423.8 million, with higher research and development, sales and marketing, and general and administrative expenses. Management cited compensation and continued investment in its Connect and Scale strategy.
- Annualized recurring revenue (ARR) reached $1.648 billion, up 12% year over year; organic ARR grew 13%.
- Segment revenue was broadly mixed: Buildings and Infrastructure was $399.5 million, approximately flat; Geospatial was $152.4 million, down 27%; Resources and Utilities was $208.6 million, down 9%; Transportation was $154.9 million, down 2%. Segment operating income increased in Resources and Utilities and Transportation, and declined in Buildings and Infrastructure and Geospatial.
Outlook, risks, and unusual items
The filing provides no specific quantitative revenue or earnings guidance. Management expects continued investment in research and development and describes a longer-term shift toward software and recurring revenue as supporting business visibility. It believes cash, operating cash flow, and available borrowing capacity will meet foreseeable operating needs, debt service, planned investment, and acquisitions.
On April 3, 2023, after quarter-end, Trimble completed its all-cash acquisition of Transporeon for approximately €1.9 billion ($2.1 billion). The company said it would report Transporeon in Transportation beginning in Q2 2023; purchase-price allocation was pending. Funding included the quarter’s $800 million note issuance, $1.0 billion of term loans, $225 million drawn on the revolving facility, and cash on hand. Management expects the acquisition to expand international reach and Transportation opportunities. The resulting variable-rate borrowing increases exposure to rising interest rates; the filing estimates that a hypothetical 50-basis-point increase would add about $6.2 million to annual interest expense.
Management cited macroeconomic uncertainty, inflation, higher interest rates, geopolitical tensions, foreign exchange movements, and dealer inventory normalization as risks. In Q1, unfavorable currency effects reduced revenue by $15.7 million and operating income by $4.5 million. Inventory levels may take longer to normalize if demand or supply-chain conditions change. The company had $782.5 million of unconditional purchase obligations, primarily vendor orders and platform investments. It reported no material litigation beyond ordinary-course matters and no material change to risk factors disclosed in its 2022 Form 10-K. Stock repurchases had been temporarily discontinued following the additional acquisition-related indebtedness; $215.3 million remained authorized under the program at quarter-end.
Important facts for investors to verify
- Whether hardware demand and dealer inventory reductions stabilize, particularly in Geospatial and Resources and Utilities.
- Whether recurring-revenue growth and gross-margin improvement continue to offset weaker product revenue and higher operating expenses.
- Transporeon’s integration, purchase-price allocation, contribution to Transportation results, and acquisition-related debt and interest costs.
- Debt repayment and refinancing plans for the $300 million maturity in June 2023, and the effect of variable interest rates after acquisition funding.
- Cash conversion, fulfillment of the $782.5 million of purchase obligations, and realization of the reported remaining performance obligations.
