Material changes and unusual items
- Revenue growth reflected higher average AUM and a $30.2 million year-over-year increase in capital allocation-based income, which reflects accrued carried interest and can fluctuate with underlying fund valuations.
- Investment advisory fees grew more slowly than average AUM, and the effective fee rate declined to 42.1 basis points from 42.7 basis points a year earlier. Management cited a shift toward lower-fee vehicles, partly offset by market returns and performance fees.
- Q1 2023 expenses included a $49.6 million reduction in the OHA contingent consideration liability; there was no comparable change in Q1 2024. This prior-year item affects GAAP comparisons.
- Non-operating income increased to $188.9 million from $135.4 million, including gains on investments and consolidated sponsored products. Such gains can vary with market valuations.
- Cash dividends paid were $286.5 million. The quarterly dividend was increased 1.6% to $1.24 per share; the company also repurchased approximately 717,000 shares for $80.1 million as reflected in equity.
Outlook, risks, and contingencies
- Management estimates a full-year 2024 effective tax rate of 23%–27% on a GAAP basis and 23%–26% on a non-GAAP basis.
- Anticipated 2024 capital expenditures are about $485 million, approximately half planned for technology and most of the remainder for the new Baltimore headquarters; management expects to fund them from operating cash flow and available resources.
- The filing gives no specific full-year revenue or earnings guidance. Results remain sensitive to market movements, AUM composition and flows, investment performance, fee pressure, competition from passive products, compensation and technology costs, regulation, and the ability to attract and retain clients and key employees.
- The company has committed $397 million to fund OHA products over three years and reports $92.0 million of unfunded capital commitments to certain variable-interest entities. Management says ordinary-course claims are unlikely to have a material adverse effect; no material changes to previously disclosed risk factors were reported.
Important facts for investors to verify
- Whether AUM flows, investment performance, and asset mix support advisory-fee growth and stabilize or improve the 42.1-basis-point effective fee rate.
- How much future earnings depend on market-sensitive investment gains and accrued carried interest, rather than recurring advisory revenue.
- Expense trends, including compensation, distribution, technology investment, and the effect of prior-year contingent-consideration items on comparisons.
- Execution and funding of the planned $485 million in 2024 capital expenditures, alongside dividends and share repurchases.
- The scope and liquidity implications of CLO-related debt, OHA funding commitments, and other investment commitments; assets held by consolidated sponsored products are not available for general operations or to general creditors.
