Reporting period: Three months ended March 31, 2021; comparisons are to Q1 2020 unless stated otherwise. The interim financial statements are unaudited and were reviewed by KPMG.
Business context and operating performance
T. Rowe Price earns most revenue from investment advisory services. Results are therefore sensitive to market movements, assets under management (AUM), client flows, product mix and fee rates. Management notes that the long-term trend toward passive investing has pressured new client inflows.

Average AUM rose 29.8% to $1,508.8 billion; quarter-end AUM increased 50.5% year over year to $1,518.0 billion. During Q1, AUM grew $47.5 billion, mainly from $46.3 billion of market appreciation and $1.2 billion of net inflows. The reported inflow included $5.6 billion transferred from U.S. mutual funds to collective investment trusts and other products.
The average annualized effective advisory fee rate was 45.4 basis points, down from 45.9 basis points in Q1 2020. Management attributed the decline mainly to client transfers to lower-fee vehicles or share classes and money-market fee waivers.
Cash flow, balance sheet and capital
- Consolidated operating cash flow was $994.7 million, compared with $787.7 million in Q1 2020. Cash flow attributable to T. Rowe Price Group, before consolidated-product effects and eliminations, was $1,138.6 million.
- Cash and cash equivalents on the balance sheet were $2,830.1 million at March 31, 2021. Consolidated cash flow statements report $2,913.8 million at period-end, including $83.7 million held by consolidated investment products.
- The company reported no debt and described its liquidity as ample. Cash and discretionary investments totaled $4,849.3 million; total cash and investments in T. Rowe Price products were $6,860.5 million. Some consolidated investment-product assets are not available for general operations or to general creditors.
- Total liabilities were $1,743.3 million; permanent stockholders’ equity was $8,008.2 million. These balances include consolidated investment-product and other liabilities.
- Q1 investing cash flow was negative $30.8 million and financing cash flow was negative $307.5 million. The company repurchased 1.6 million shares for approximately $267.6 million and paid $252.3 million in dividends.
- The quarterly dividend was raised 20% to $1.08 per share in February 2021. Management estimated full-year capital expenditures of about $265 million, with more than three-quarters planned for technology initiatives.
Material changes, outlook and risks
- Q1 GAAP earnings benefited from the sharp reversal in investment results versus Q1 2020: non-operating income was $102.1 million, compared with a $500.3 million loss. This included gains on investments and consolidated sponsored investment portfolios; the prior-year period reflected market losses following the March 2020 decline.
- Operating expenses increased partly because supplemental savings plan expense rose by $85.9 million year over year as market returns improved. Management said this was almost entirely offset by gains on investments used to economically hedge the liability. Compensation excluding that plan increased 11.3%, mainly from higher variable compensation, salaries and staff levels.
- Management raised its 2021 non-GAAP operating expense growth outlook to 10%–14%, from 8%–12%, reflecting higher expected AUM-related expenses. It expects to continue advisory fee waivers through 2021; waivers in each remaining quarter were anticipated at levels similar to Q1’s $15.0 million.
- Expected full-year 2021 effective tax rates were 22%–25% on a GAAP basis and 23%–25% on a non-GAAP basis. Management cautioned that tax rates may vary with stock-option exercises and investment results.
- Management cited market volatility, AUM and client-flow changes, investment performance, fee competition, regulation, expenses and the coronavirus pandemic among factors that could affect results. It also identified the proposed establishment of T. Rowe Price Investment Management as a separate registered investment adviser as part of its forward-looking considerations.
- A certified class-action lawsuit alleges ERISA fiduciary-duty and prohibited-transaction breaches relating to the company’s 401(k) plan. T. Rowe Price disputes the claims; trial was scheduled for September 2021. The company said it could not predict the outcome or estimate a possible loss range. Management considered material adverse outcomes in other ordinary-course claims remote.
Investor facts to verify
- Whether AUM growth and net client flows persist, separating market appreciation from actual inflows and transfers.
- Whether the higher expense-growth outlook and stated fee-waiver expectations remain appropriate as markets and AUM-related costs change.
- How much future earnings depends on volatile investment gains, supplemental savings plan hedges and consolidated investment products; compare GAAP results with the company’s non-GAAP measures.
- Liquidity figures’ scope: distinguish corporate cash and investments from assets held in consolidated investment products that are unavailable for general use.
- Developments in the ERISA class action, including trial outcome and any potential financial exposure.
