Texas Instruments Incorporated (TXN) — 2020 Form 10-K
Reporting period: Fiscal year ended December 31, 2020. The filing also reports unaudited fourth-quarter results. TI designs and manufactures semiconductors, principally in its Analog and Embedded Processing segments, and reported $14.46 billion in 2020 revenue.

Fourth quarter: Revenue was $4.076 billion versus $3.350 billion in Q4 2019; operating profit was $1.813 billion versus $1.249 billion; net income was $1.688 billion versus $1.070 billion; and diluted EPS was $1.80 versus $1.12.
Segments and material changes
- Analog: Revenue of $10.886 billion, up 6%; operating profit of $4.912 billion, up 10%. Analog represented about 75% of revenue.
- Embedded Processing: Revenue of $2.570 billion, down 13%; operating profit of $743 million, down 18%.
- Other: Revenue of $1.005 billion, down 17%; operating profit of $239 million, down 29%.
- Revenue growth and higher factory loadings contributed to higher gross profit. R&D and SG&A expense was $3.153 billion, slightly below 2019.
- Net income benefited from lower taxes, including a $249 million benefit from the effective settlement of a depreciation-related uncertain tax position. The effective tax rate was 7%, versus 12% in 2019; the annual operating tax rate, excluding discrete items, was 14%, versus 16%.
Liquidity, debt and capital allocation
- Cash, cash equivalents and short-term investments totaled $6.568 billion at year-end, compared with $5.387 billion a year earlier.
- Debt carrying value, including current maturities, was $6.798 billion; current and long-term debt were $550 million and $6.248 billion, respectively. Cash and short-term investments slightly below total debt imply roughly $230 million of net debt.
- The $2 billion revolving credit facility, available through March 2024, was undrawn; no commercial paper was outstanding. Management said resources and operating plans should fund requirements for at least the next 12 months.
- TI paid $3.426 billion in dividends and repurchased $2.553 billion of shares in 2020, returning about $5.98 billion to shareholders. The declared dividend was $3.72 per share, up from $3.21.
- Capital expenditures were $649 million, primarily for manufacturing equipment and facilities. A new 300-millimeter wafer fabrication facility in Richardson, Texas, was under construction.
Outlook, risks and unusual items
- The filing provides no specific revenue or earnings guidance. Management remained cautious about the economy and the continuing, uncertain effects of COVID-19. Pandemic-related disruption to lead times and order fulfillment was minimal in 2020, but future factory restrictions or changes in customer demand could constrain supply or affect results.
- In January 2020, TI announced a multiyear plan to close its two remaining 150-millimeter factories in Sherman and Dallas and transition production to more cost-effective 300-millimeter facilities. Completion was expected in two to four years; future closure charges could not yet be reasonably estimated.
- Major risks include semiconductor cyclicality and demand forecasting, competitive pricing and technology pressures, fixed manufacturing costs, supply-chain availability, trade tensions and exposure to China, cybersecurity, and tax and regulatory uncertainty. Shipments to China-based customers were about 20% of revenue; shipments outside the U.S. were about 90%.
- TI reported no significant off-balance-sheet arrangements and stated that ordinary-course legal proceedings were not expected to materially affect its financial condition, results or liquidity. The auditor issued unqualified opinions on the financial statements and internal control; uncertain tax positions were identified as a critical audit matter.
Important facts for investors to verify
- Whether Analog growth can offset continued weakness in Embedded Processing and Other, and how end-market demand develops.
- Whether the planned factory transition stays on schedule and what restructuring and capital costs result.
- How sustainable cash generation and shareholder returns are, given lower operating cash flow and free cash flow in 2020.
- How the $249 million tax-position settlement benefit affects comparisons and the tax rate in future periods.
- Whether pandemic conditions, trade restrictions, customer inventory changes, or supply constraints materially alter orders and fulfillment.
