  • Q3 revenue increased 42.9% year over year; nine-month revenue increased 32.0%. SPS revenue grew 47.2% in Q3 and 36.2% for nine months, while SSB grew 26.9% and 16.6%, respectively.
  • Profitability improved: Q3 operating income was $34.9 million versus $8.3 million, and nine-month operating income was $88.3 million versus $25.5 million. Management attributed improved segment gross margins principally to higher volumes and product mix in SPS, and labor efficiencies and lower facility costs in SSB.
  • Nine-month operating cash flow fell $36.2 million despite higher net income, primarily because of less favorable working-capital movements. Accounts receivable used $32.7 million of cash and accounts payable used $21.9 million.

Liquidity, debt, and balance sheet

  • At September 25, cash was $176.1 million, compared with $162.5 million at fiscal year-end 2019. Current assets were $514.1 million and current liabilities $195.3 million; inventory was $175.3 million and net receivables $145.5 million.
  • Total assets were $1,060.3 million and total equity $518.5 million. Bank borrowings were $280.1 million net of $8.3 million of unamortized debt issuance costs; the $287.8 million term loan carried a 4.7% rate. The $40 million U.S. revolver draw made in March was fully repaid in September. UCT reported covenant compliance and $65 million available on its U.S. revolver.
  • UCT said cash, operating cash flow, and available credit were expected to meet debt service and working-capital needs for at least the next 12 months. Nine-month capital expenditures were $26.7 million.

Changes, outlook, risks, and unusual items

  • Growth reflected increased semiconductor and wafer-fabrication-equipment demand. International revenue grew faster than U.S. revenue. Lam Research and Applied Materials together represented 68.1% of Q3 revenue, up from 61.9% a year earlier, highlighting customer concentration.
  • No specific quarterly or annual financial guidance is provided. Management cited long-term demand drivers including 5G, new server CPU architectures, cloud, AI, and machine learning, while cautioning that COVID-19 effects on demand, collections, supply chains, and liquidity remained uncertain.
  • COVID-19-related wage and other subsidies reduced costs or increased other income; Singapore wage subsidies were estimated at $3.2 million for the year, with $1.8 million recognized in the first nine months. China subsidies also benefited results. These items are not necessarily recurring.
  • UCT paid the maximum $12.5 million DMS earn-out in August 2020 after the performance target was achieved. The nine-month period also included a $1.9 million restructuring charge tied primarily to integrating QGT headquarters into Hayward, and fair-value expense related to the DMS earn-out and Cinos share-purchase obligation.
  • Management disclosed continuing material weaknesses in SSB internal controls; disclosure controls were deemed ineffective at quarter-end. Remediation was underway, but the weaknesses would not be considered remediated until controls operated effectively for a sufficient period and were tested.
  • An August cyberattack accessed data relating to fewer than 6,000 current and former employees, including Social Security numbers and some financial or credit-card account numbers. UCT reported no operational impact and did not anticipate a material financial effect; notifications and remediation were ongoing.
  • Inventory purchase commitments totaled $179.4 million. UCT reported no legal proceedings expected to have a material adverse effect. LIBOR phaseout after 2021 could require changes to the term-loan reference rate.

Important facts for investors to verify

  1. Whether semiconductor demand and customer orders remain strong, given the two largest customers’ 68.1% share of Q3 revenue.
  2. Whether receivables convert to cash and operating cash flow recovers after the significant working-capital outflow.
  3. Progress and testing results for remediation of SSB control weaknesses, including the ERP and IT-control work.
  4. Potential financial, legal, or reputational consequences of the employee-data cyberattack.
  5. How much reported earnings benefited from subsidies and other nonrecurring items, and whether gross-margin gains persist.
  6. Debt covenant headroom, future interest costs and LIBOR transition terms, alongside the $179.4 million inventory purchase commitment.
