The 2028 senior secured notes bear 7.375% interest and mature February 2028; their reported fair value was approximately $553.3 million at March 31, below carrying value.

Revenue by segment was $36.4 million radio broadcasting, $8.5 million Reach Media, $14.0 million digital and $46.2 million cable television. No gross margin is separately reported.

Material changes versus prior year

  • Revenue fell $5.5 million. Cable television revenue declined $3.5 million, primarily from lower audience viewership affecting advertising and subscriber churn; Reach Media declined $2.4 million amid weaker demand and advertiser attrition; digital declined $1.1 million on weaker national sales and advertiser demand. Radio revenue rose $1.2 million, partly reflecting the Houston station acquisition.
  • Operating income improved despite lower revenue, chiefly because Q1 2023 included a $16.8 million impairment tied to the planned KROI-FM station sale. Q1 2024 had no impairment. Corporate SG&A excluding stock compensation increased $7.4 million, primarily from consulting and audit costs.
  • Common-stockholder income improved from a loss to profit, supported by a $7.9 million gain on retiring debt, higher interest income, lower interest expense and the absence of the prior-year impairment. Adjusted EBITDA nevertheless declined, reflecting weaker operating performance.
  • The company repurchased $75 million principal amount of 2028 notes for approximately $66.2 million in cash, reducing debt and recognizing a $7.9 million gain. It also paid $7.6 million to acquire a further 10% of Reach Media, increasing its ownership to 90%.

Outlook, risks and unusual items

  • No specific financial guidance is provided. Management says operating cash flows, cash and other liquidity sources are expected to be sufficient for foreseeable cash requirements. Results are seasonal, with revenue typically lowest in Q1; even-year political activity may benefit advertising.
  • Operating cash flow was negative, and cash declined substantially during the quarter, mainly in connection with debt repurchases and other financing outflows. Management attributed the lower operating cash flow versus the prior year primarily to decreased profitability and lower accounts-receivable collections.
  • Management identifies macroeconomic volatility, inflation and interest rates, advertiser demand, leverage, music royalty costs, competition, audience and subscriber trends, FCC regulation, talent retention, technology disruption and impairment risk among factors that could affect results.
  • Urban One terminated its 50/50 partnership with Churchill Downs related to the proposed Richmond casino resort in February 2024. The quarter included a $0.4 million loss from the unconsolidated joint venture.
  • Disclosure controls and procedures were deemed ineffective at March 31, 2024 because of material weaknesses in internal control over financial reporting. Management described ongoing remediation, including finance hires and external support, but said remediation could not be concluded until controls are implemented and tested.
  • The company received Nasdaq notices concerning late filing of its 2023 Form 10-K and this Q1 2024 Form 10-Q. Subsequent ABL waivers addressed late financial deliverables and set a June 17, 2024 deadline for the delayed reports. The filing is dated June 7, 2024.
  • Music performance-rights license renewals are under negotiation with BMI and SESAC; the outcome could increase royalty costs. Management says ordinary-course legal matters are not expected to have a material adverse effect.
