Revenue growth reflected a 17% increase in genomic classifiers reported and the addition of Decipher; total test volume rose 11% to 14,437. Decipher contributed $3.8 million of revenue and 1,560 tests after acquisition. Product revenue declined 10% to $3.1 million, and biopharmaceutical revenue declined 22% to $0.6 million.
Q1 expenses and net loss included $35.1 million of Decipher acquisition-related charges: $25.1 million for accelerated vesting and settlement of legacy awards and approximately $10.0 million of transaction costs. Management said these charges increased reported net loss per share by $0.55. General and administrative expense rose to $46.3 million, largely reflecting these items.
Balance sheet, cash flow and financing
- Cash and cash equivalents were $324.1 million at March 31, 2021, versus $349.4 million at year-end; including restricted cash, the total was $324.8 million.
- Current assets were $362.1 million and current liabilities $32.7 million. Total assets were $1.025 billion, including $474.8 million of goodwill and $159.4 million of intangible assets, largely recognized in the Decipher acquisition.
- Investing cash outflow was $575.6 million, primarily for Decipher. Financing cash inflow was $591.0 million, principally from the February public offering.
- The offering issued 8.55 million shares at $74 per share and generated $593.8 million net proceeds. The company used proceeds and existing cash to fund the acquisition.
- Debt principal outstanding was approximately $1; the balance sheet carried an $863,000 end-of-term obligation. A final payment of approximately $1.2 million is due in 2022. The $10 million revolving credit facility was undrawn, and the company reported compliance with loan covenants.
Material changes, outlook and risks
- Acquisition: Veracyte acquired Decipher for approximately $594.7 million, including upfront cash consideration and post-acquisition cash payments. The preliminary purchase-price allocation includes $472.1 million of goodwill and $94.0 million of finite-lived technology intangibles plus $7.3 million of in-process R&D. Allocation remains subject to revision. Goodwill is not tax deductible.
- Liquidity and outlook: Management believes cash, available credit and anticipated revenue will fund requirements for at least 12 months from the filing date. It expects further losses in 2021 and potentially later years. No specific full-year revenue or earnings guidance is provided in the filing.
- Pipeline and coverage: The company expected a mid-2021 Medicare coverage decision for Decipher Bladder; anticipated U.S. launches of Percepta Nasal Swab and Percepta Atlas in the second half of 2021; and expected an international Envisia launch on the nCounter platform before year-end. These are forward-looking plans, not guarantees.
- COVID-19 and supply: Management cited continuing uncertainty around patient and provider activity and supply availability. Single-source suppliers and prior disruptions in plastic materials could constrain testing volumes or increase costs.
- Reimbursement and concentration: Medicare and UnitedHealthcare represented 27% and 11% of Q1 revenue, respectively. Payer coverage, collection estimates, denials, future reimbursement rates and Medicare pricing changes could affect revenue and cash conversion. Veracyte recognized $0.2 million of additional testing revenue from revised estimates for prior-period tests.
- Other items: A $3.8 million income tax benefit mainly reflected deferred tax liabilities assumed with Decipher and a partial release of the valuation allowance. Two Veracyte directors had served on Decipher’s board; the filing reports acquisition-related payments of approximately $26.5 million to Dr. Nova and $1.4 million to Dr. Epstein, who recused themselves from the board’s acquisition discussions. The company reported no pending legal proceeding expected to have a material adverse effect.
- Management and controls: The filing noted planned CEO and CFO transitions in May–June 2021. Disclosure controls were assessed as effective; Decipher was still being incorporated into the company’s internal-control evaluation.
Important facts for investors to verify
- Whether Decipher integration, commercial growth and the preliminary acquisition valuation support the substantial goodwill and intangible-asset balances.
- Whether payer coverage, reimbursement rates and actual collections sustain testing revenue growth, particularly for Decipher and newer products.
- Whether planned product launches and Medicare coverage decisions occur on schedule and achieve adoption.
- How operating cash use evolves after excluding acquisition-related charges, and whether liquidity remains adequate as the combined business scales.
- The effects of share issuance and ongoing equity compensation on dilution, and any further material updates to executive transitions or related-party matters.
