Q2 revenue rose 26%, driven mainly by ORKAMBI. Six-month revenue rose 52%, reflecting higher product sales and a $230 million Merck KGaA upfront collaboration payment recognized in Q1. Q2 operating margin was approximately 9.7%; the six-month figure was approximately 25.7%, boosted by collaboration revenue. The filing does not present a standalone gross-margin percentage.
- Product trends: Q2 ORKAMBI revenue was $324.4 million, up 32%; KALYDECO was $189.6 million, up 5%. Six-month increases were 32% and 7%, respectively. Royalty revenue declined 46% in Q2 to $2.9 million.
- Costs: Q2 operating costs and expenses increased 15% to $491.4 million. R&D rose 7% to $289.5 million and SG&A rose 14% to $127.2 million. Six-month R&D was $563.0 million, up 7%; SG&A was $240.6 million, up 11%.
- Liquidity: Cash, cash equivalents and marketable securities totaled $1.669 billion at June 30, up from $1.435 billion at year-end. Current assets were $2.181 billion and current liabilities $625.4 million. Operating cash flow was $447.3 million; property-and-equipment spending was $28.9 million.
- Debt and obligations: Vertex repaid its $300 million revolving-facility draw in February; no facility balance remained at June 30. The $500 million facility remains available, subject to its terms. Capital lease obligations totaled $43.5 million; construction financing lease obligation was $525.0 million. Total liabilities were $1.418 billion.
Material changes and unusual items
- ORKAMBI growth reflected higher U.S. sales and greater ex-U.S. revenue: Q2 ex-U.S. ORKAMBI revenue was $36.3 million versus $15.9 million a year earlier. KALYDECO growth was attributed mainly to label expansions; first-half results also included about $9 million of one-time European reimbursement credits.
- Q2 collaborative revenue included a $20 million upfront payment received by Parion, a consolidated VIE, from Shire. Vertex states it is not party to that license and has no economic interest in the payment. The associated revenue and tax provision were attributable to noncontrolling interest.
- Merck KGaA licensed four oncology programs. Vertex recognized approximately $231.7 million of related revenue in Q1; Merck assumed development and commercialization costs.
- Vertex recorded $13.5 million of first-half restructuring expense, primarily for the closure of its Canadian research site, affecting about 70 positions. Estimated total charges for that restructuring were approximately $12.4 million; the filing also reports other restructuring activity.
- Adoption of share-based compensation guidance resulted in a $30.8 million first-half tax benefit from excess tax benefits. A related approximately $410.8 million deferred tax asset was fully offset by a valuation allowance.
- After quarter-end, Vertex paid $160 million for CTP-656 assets from Concert; it expects to record the payment as R&D expense in Q3 2017. Up to $90 million in additional milestones may be payable.
Outlook, commentary and risks
- Management expected cash flows from ORKAMBI and KALYDECO, together with existing cash and investments, to fund operations for at least 12 months. Future liquidity depends on product revenue, R&D investment and business-development activity.
- Vertex expected second-half 2017 development expense to increase, including the Concert payment and continued investment in triple-combination trials. It also expected approximately $30 million of lease-related interest expense during the remainder of 2017.
- Tezacaftor/ivacaftor NDA and MAA applications had been submitted after positive Phase 3 results; approval and reimbursement remained uncertain. Management expected data from another Phase 3 study in the second half of 2017.
- Initial 2017 clinical results for VX-440, VX-152 and VX-659 were encouraging but came from small, early-stage trials. Vertex planned to consider pivotal development of one or more triple combinations in the first half of 2018, subject to further data and consultations.
- Key risks include dependence on CF products, ORKAMBI uptake and reimbursement negotiations, regulatory and clinical uncertainty, competition, and the possibility that initial trial findings may not be confirmed in larger studies. France ORKAMBI early-access collections of $147.7 million remained customer deposits, not revenue, pending a formal reimbursement agreement.
Important facts for investors to verify
- Whether ORKAMBI reimbursement agreements and patient uptake support continued growth, particularly outside the United States.
- Regulatory decisions and timing for tezacaftor/ivacaftor, and subsequent efficacy and safety data for triple-combination candidates.
- The effect of the $160 million Concert payment and potential milestones on Q3 expenses and future cash requirements.
- How much reported collaboration revenue and earnings reflect recurring economics versus upfront payments or consolidated VIE activity.
- Ongoing lease, credit-facility covenant and other contractual obligations, and the assumptions supporting management’s 12-month liquidity assessment.
