The $1.0 million of Q1 revenue was a development milestone under the Newsoara license agreement; the associated performance obligation was fully satisfied. One customer accounted for all Q1 revenue. No product revenue was reported. Gross margin was not presented, and a product-sales margin is not applicable to the reported revenue.

Operating expenses totaled $6.6 million. The company reported $18.7 million of noncurrent contract liabilities, primarily deferred consideration under the G42 arrangement. No notes payable were outstanding at quarter-end; the $0.2 million current notes payable reported at year-end was repaid. Cash-flow financing proceeds were $50.1 million, largely from the February private placement. There were no investing cash flows.

Changes versus the prior comparable period

  • Revenue increased from zero, reflecting the Newsoara milestone.
  • R&D expense fell 32.8%, mainly from lower cadisegliatin toxicity-study and manufacturing costs, partly offset by clinical-trial start-up costs. G&A expense rose 14.1%, mainly due to payroll and legal costs.
  • Operating loss improved by $1.8 million, but attributable net loss increased by $0.4 million. The comparison also reflects a shift from $1.6 million of other income in Q1 2023, including a Reneo investment gain, to $0.4 million of other expense in Q1 2024, including a related-party warrant fair-value loss.
  • Operating cash use increased by $2.2 million; management attributed the change principally to working-capital movements.
  • The February private placement generated approximately $51.0 million gross proceeds. The company also reclassified $5.3 million of redeemable noncontrolling interest to permanent equity after governance changes made the cash-redemption feature subject to company control.

Outlook, risks, and notable items

  • Management says existing cash is expected to meet liquidity needs for at least 12 months and that current plans are intended to fund operations into Q1 2026. These estimates depend on development spending, trial progress, and access to additional funding; the company expects continued losses and negative operating cash flows.
  • The company plans to continue a U.S. Phase 3 cadisegliatin trial in 150 people with type 1 diabetes. It expects enrollment completion in Q4 2024 and topline one-year data in Q1 2026. It also expects to begin a G42-partnered Phase 2 type 2 diabetes trial in the Middle East in 2024; these are forward-looking targets, not assured outcomes.
  • The February financing included common shares and immediately exercisable, non-expiring pre-funded warrants with a $0.01 exercise price. The warrants’ underlying shares are included in the loss-per-share denominator. The company reported 3,970,587 pre-funded warrant shares remaining available for exercise at quarter-end, creating potential dilution. An ATM agreement permits up to $50.0 million of sales, subject to public-float limits, and carries a 3% sales commission.
  • Development, regulatory approval, trial enrollment, financing, and commercialization remain significant uncertainties. The company says it may need substantial additional capital; equity financing could dilute shareholders, and collaborations could require relinquishing rights. Management reported no material changes to previously disclosed risk factors.
  • G42 may elect a $30.0 million cash payment or shares upon FDA approval of cadisegliatin, subject to agreement terms. The Novo Nordisk license includes potential development and regulatory milestones of up to $115.0 million for approval in certain indications, plus up to $75.0 million in sales milestones and royalties; these are contingent obligations, not current debt.
  • MacAndrews-affiliated holdings represented approximately 49.5% of combined voting power at March 31. Governance rights changed in connection with the financing, including board-designation rights for investors and approval provisions for certain actions. The filing reports no material legal proceedings, no off-balance-sheet arrangements, and effective disclosure controls.

Important facts for investors to verify

  • Whether the Phase 3 trial meets enrollment and data timing targets, and what the results show on hypoglycemia, HbA1c, and safety.
  • Whether the planned G42 type 2 diabetes trial starts on schedule and how costs and responsibilities are allocated under the collaboration.
  • Cash burn and runway assumptions underlying management’s Q1 2026 funding outlook, including any subsequent financing or ATM sales.
  • Actual exercise of pre-funded warrants, resulting dilution, and the terms and potential outcome of the G42 FDA-approval payment election.
  • The timing and conditions for recognition of the remaining G42 deferred revenue and any additional Newsoara milestones or collaboration receipts.
