Revenue fell about 20% year over year. Operating expenses increased about 31%; R&D rose about 35% and G&A about 25%. The company attributed higher R&D mainly to XEN801 entering IND-enabling studies and increased Nav1.6 program spending; higher G&A reflected public-company costs. The operating loss was approximately 30% of revenue. Net loss was heavily affected by foreign exchange: the company reported $3.1 million of unrealized FX loss, largely associated with Canadian-dollar cash and securities and an approximately 8% decline in the Canadian dollar during the quarter.

  • Liquidity: Cash and cash equivalents were $65.917 million and marketable securities $9.464 million at March 31, totaling $75.381 million, versus $84.041 million at December 31, 2014. Management expected available cash, securities and anticipated collaboration research funding to cover operating and capital needs for at least 12–24 months, while cautioning that assumptions could prove wrong.
  • Cash use: Operating cash use was $5.547 million; investing activities provided $1.491 million, largely from net marketable-security sales; financing provided $0.127 million from option exercises. Cash and cash equivalents declined $6.109 million, including a $2.180 million adverse exchange-rate effect.
  • Balance sheet: Total assets were $79.403 million; total liabilities were $10.434 million; shareholders’ equity was $68.969 million. Current liabilities included $8.724 million of deferred revenue. The filing reports no outstanding debt.
  • Revenue composition: Teva contributed $2.921 million (upfront-payment recognition and research funding); Genentech contributed $1.089 million. Deferred collaboration revenue totaled $8.724 million at quarter-end, expected to be recognized during 2015 and 2016.

Business developments and outlook

  • Teva’s TV-45070 Phase 2b knee osteoarthritis trial results were expected in Q3 2015. Teva initiated a Phase 2b postherpetic neuralgia trial in April 2015, with results expected in the second half of 2016. Xenon retains a U.S. co-promotion option, subject to its terms and future circumstances.
  • Genentech’s GDC-0276 Phase 1 trial was expected to complete enrollment in the second half of 2015.
  • Xenon anticipated filing an IND-equivalent application for XEN801 in mid-2015 and an IND for its Dravet Syndrome program in 2016.
  • Management expected significant expenses and operating losses for the foreseeable future and did not expect sustained profitability. Near-term revenue was expected to depend substantially on collaborations; milestone timing and amounts are uncertain. Xenon had not generated product-sales royalties.
  • Glybera, licensed to uniQure and commercialized in Europe by Chiesi, remained subject to market-access and reimbursement uncertainty. A preliminary EMA rapporteur assessment was negative on efficacy and benefit-risk; the final CAT assessment did not endorse that negative view and recommended considering the totality of efficacy evidence. The review was ongoing, with no assurance of the final outcome.

Material risks, contingencies, and other items

  • Foreign exchange: At March 31, $54.5 million of cash and marketable securities was denominated in Canadian dollars. Xenon estimated that a hypothetical 10% Canadian-dollar movement would produce a $5.5 million FX gain or loss. It did not hedge its currency exposure after matching some holdings to anticipated expenses.
  • Development and financing: Product candidates remain dependent on clinical success, regulatory approval and, for partnered products, collaborator execution. Xenon expects to need additional capital over time; future financing could dilute shareholders or require unfavorable terms or rights concessions.
  • Collaboration and commercialization: Revenue and potential milestones depend on Teva, Genentech, uniQure and other partners. Glybera’s exceptional-circumstances EU approval entails post-approval obligations and could be affected by the ongoing review, reimbursement or adoption.
  • Contingencies: The company disclosed customary indemnification obligations with potentially unlimited maximum exposure, but believed their fair value was minimal and recorded no liability. Management reported no legal proceedings expected to have a material adverse effect.
  • Controls: Management concluded disclosure controls and procedures were effective at quarter-end; no material changes in internal control over financial reporting were reported.

Investor verification priorities

  • Track cash burn, Canadian-dollar exposure and whether the stated 12–24-month runway remains supported by actual spending and collaboration funding.
  • Verify TV-45070 and GDC-0276 trial progress and results against the timelines stated in the filing.
  • Monitor XEN801 and Dravet Syndrome IND milestones, development spending and any resulting change in cash needs.
  • Follow the final EMA outcome and commercial access, reimbursement and sales progress for Glybera.
  • Reconcile future collaboration revenue and milestones with deferred revenue balances, partner commitments and any changes to the collaborations.
