Average AUM fell 8.0% to $416.0 billion. Year-end cash and cash equivalents were $627.2 million, including cash held for broker-dealer requirements and $305.4 million held by foreign subsidiaries. Material changes versus the prior comparable period
- Total net revenues declined 0.5%. Investment advisory and services fees fell 7.5% to $1.772 billion, principally reflecting lower average AUM and a shift in institutional assets from higher-fee equities toward fixed income and other services. Retail revenue rose 9.2%; institutional revenue fell 21.3%; private-client revenue fell 10.2%; and Bernstein Research Services revenue fell 5.4%.
- GAAP results improved from a 2011 loss, when the firm recorded a $587.1 million one-time, non-cash long-term incentive compensation charge. 2012 results included $223.0 million of real-estate charges, also principally non-cash.
- Adjusted operating income increased 2.6% to $424.2 million, while adjusted net revenues fell to $2.260 billion from $2.426 billion. Management attributed improved adjusted margin to cost reductions and operating efficiencies.
- Headcount declined to 3,318 from 3,764. Retail AUM increased 28.2%, while institutional AUM decreased 1.8% and private-client AUM decreased 5.2%.
Outlook, commentary, risks and unusual items
Management said total net flows turned positive in the fourth quarter for the first time since before the financial crisis, supported by a second consecutive quarter of more than $5 billion in retail inflows and a positive institutional flow quarter. It reported improving performance in many fixed-income and selected equity strategies, but acknowledged continued underperformance in some core equity services and pressure on institutional and private-client flows. The filing provides no formal earnings or revenue guidance.
- The global real-estate consolidation plan covers approximately 510,000 square feet of intended subleases. Management estimated total related non-cash charges of $225–$250 million and projected annual occupancy savings of $38–$43 million once space is successfully subleased; the estimates depend on market and subleasing conditions.
- Standard & Poor’s downgraded AllianceBernstein’s long-term rating from AA- to A+ in June 2012; both S&P and Moody’s maintained negative outlooks. Management cited investment performance and client outflows as key concerns.
- A former European pension-fund client alleged negligence relating to a £500 million U.S. mortgage-backed-securities portfolio and claimed damages of $177–$234 million plus compound interest. AllianceBernstein disputed the allegations; the matter was at an early stage and the company said it could not estimate a reasonably possible loss range. Other legal and regulatory matters are also disclosed.
- Management identified risks from investment performance, market volatility, net outflows, fee and product mix, competition, key-person retention, regulation, counterparty and technology exposures, and possible goodwill impairment. Goodwill was approximately $2.95 billion; the 2012 annual impairment test found no impairment, though management noted sensitivity to deteriorating conditions.
- Hedge-fund performance fees may remain limited: the filing says a significant majority of relevant hedge-fund AUM was below high-watermarks, making performance fees on those assets in 2013 unlikely. Total 2012 performance-based fees of $66.6 million included $39.6 million from winding up the PPIP fund.
Important facts for investors to verify
- Whether positive fourth-quarter flows continue, especially in institutional and private-client channels, and whether equity performance improves relative to benchmarks.
- Whether the projected real-estate savings are realized through subleases, and how actual charges compare with management’s estimates.
- How the European pension-fund claim and other legal or regulatory matters develop; the filing does not provide a clear estimable loss range for the principal claim.
- Liquidity and borrowing access if outflows or weaker performance persist, including credit-rating developments and the availability of the revolving facility.
- The reconciliation of GAAP results to management’s non-GAAP adjusted measures and the basis for distributions, which exclude specified non-cash charges.
