Business context and reporting period

Brookfield Infrastructure Corporation (BIPC) filed an audited IFRS annual report for the year ended December 31, 2023; this is not a standalone fourth-quarter filing. Revenue rose 33%, driven mainly by the Triton acquisition, inflation-indexed Brazilian tariffs, U.K. growth and foreign exchange. Net income fell as the exchangeable-share remeasurement gain was only $34 million, versus $1,058 million in 2022; these shares are classified as liabilities under IFRS. Higher interest expense also weighed on results. The 2023 results include a $32 million gain on the Australian utility sale and about $49 million of Triton acquisition costs. The company paid $178 million of exchangeable-share dividends, recorded as interest expense.

Fourth-quarter revenue was $917 million versus $492 million in Q4 2022. Q4 net loss was $54 million versus net income of $662 million; the amount attributable to the partnership was a $227 million loss versus $565 million of income. Quarterly earnings are materially affected by exchangeable-share remeasurement.

Year-end consolidated cash and cash equivalents were $539 million. BIPC separately reported company-level liquidity of $540 million, comprising $190 million cash and $350 million of available credit facilities; group-wide liquidity was $5.211 billion. Non-recourse debt principal repayments are scheduled at $1.203 billion in 2024, $917 million in 2025, $2.556 billion in 2026, $1.697 billion in 2027, $1.085 billion in 2028 and $5.346 billion thereafter. Reported consolidated cash flow and company-level liquidity are different measures.

Material changes, outlook and risks

  • Triton acquisition: Closed September 28, 2023. BIPC has an effective 28% interest but consolidates Triton because voting arrangements give it control. The acquisition added $385 million of 2023 revenue and approximately $7 billion of debt. Purchase-price allocations remain provisional.
  • Asset sale: BIPC sold its 7.9% effective interest in an Australian regulated utility to a Brookfield affiliate for net proceeds of approximately $435 million, recognizing a $32 million gain and reclassifying $28 million of accumulated currency translation losses.
  • Distribution outlook: Management targets 12%–15% long-term annual total returns on infrastructure assets. The partnership targets a 60%–70% FFO payout ratio and 5%–9% annual distribution growth. In January 2024, it approved a 6% increase to $0.405 per unit quarterly; BIPC approved an equivalent dividend per exchangeable share, beginning March 2024. These are targets and intentions, not assurances.
  • Operating exposure: Most revenue is regulated or contracted, but a single customer generated $1.449 billion, about 58% of 2023 revenue; the filing identifies material Brazilian customer concentration. Brazilian gas transport capacity is fully contracted under ship-or-pay agreements with an average remaining term of six years.
  • Financing and related parties: BIPC reports $1.288 billion due from Brookfield Infrastructure, including a $1.038 billion demand deposit and a $250 million loan maturing March 27, 2024 at SOFR plus 200 basis points. A subsidiary also borrowed $250 million from a Brookfield affiliate on the same stated maturity and rate basis. BIPC subsidiaries guarantee specified Brookfield Infrastructure debt and other obligations.
  • Governance and controls: Brookfield and Brookfield Infrastructure together hold approximately 77.5% of BIPC’s voting power. BIPC pays a Brookfield management fee; its 2023 share was $63 million. The filing describes extensive potential conflicts, including investment allocation, affiliated services and fee allocation. Management and the auditor reported effective internal controls, but Triton—representing 51.8% of total assets—was excluded from management’s internal-control assessment and the auditor’s ICFR audit.
  • Other risks: Key exposures include leverage and refinancing, interest and foreign-exchange rates, regulation, inflation, climate and environmental matters, cybersecurity, acquisition execution and valuation, and Brookfield dependence. Management reported no material pending governmental, legal or arbitration proceedings and no defaults or dividend arrearages. The financial statements received an unqualified audit opinion; revaluation of property, plant and equipment and the Triton acquisition were critical audit matters.

Important facts for investors to verify

  • Review the partnership’s filings and FFO disclosures: BIPC’s exchangeable shares are designed to track partnership units, and the filing’s stated payout and growth targets apply to the partnership.
  • Assess the sustainability and credit quality of the major Brazilian customer relationship, contract terms and renewal exposure.
  • Check Triton’s final purchase-price allocation, post-acquisition operating performance, debt terms and integration progress.
  • Confirm repayment or refinancing of the Brookfield-related March 2024 loans and deposits, and assess BIPC’s guarantees and related-party exposure.
  • Examine debt maturities, interest-rate sensitivity, available liquidity and the distinction between consolidated cash and company-level liquidity.
  • Consider the effect of the exchangeable-share liability accounting and remeasurement volatility on reported earnings; assess the underlying operating cash flows separately.
  • Review Brookfield’s voting control, management fees, conflicts protocols and the Rights Agreement, which is scheduled to terminate March 31, 2025.
  • Consider the limits of the internal-control opinion: Triton was excluded from the 2023 control assessment and audit.
