Blackstone Mortgage Trust, Inc. — 2021 Form 10-K
Reporting period: Fiscal year ended December 31, 2021. The filing also reports fourth-quarter 2021 results. BXMT is an externally managed REIT that originates and acquires commercial real estate loans, primarily senior floating-rate loans secured by institutional properties in North America, Europe and Australia.
Financial and portfolio highlights

|---|---|---|
| Net income attributable to BXMT | $419.2 million; $2.77 per share | $137.7 million; $0.97 per share |
| Distributable Earnings (non-GAAP) | $396.7 million; $2.62 per share | $352.0 million; $2.48 per share |
| Dividends declared | $2.48 per share; $383.9 million | $2.48 per share; $356.2 million |
| Net interest income | $514.5 million | $432.2 million |
| Cash flow from operating activities | $382.5 million | $336.6 million |
- Fourth quarter: Net income attributable to BXMT was $123.9 million, or $0.76 per share; Distributable Earnings were $126.0 million, or $0.78 per share; and the dividend declared was $0.62 per share. Management attributed the sequential increase in net interest income partly to higher prepayment income and a larger loan portfolio.
- Loan production and portfolio: BXMT originated or acquired $14.6 billion of loans during 2021; fundings of $12.9 billion exceeded repayments and sales of $7.2 billion, producing $5.7 billion of net fundings. At year-end, the portfolio comprised 189 investments with $24.0 billion of total investment exposure, a 64.4% weighted-average origination LTV and a 3.54% weighted-average all-in yield over applicable benchmarks. Multifamily exposure increased to 24% from 10%; Sunbelt exposure rose to 27% from 19%.
- Credit quality and reserve: The weighted-average internal loan risk rating improved to 2.8 from 3.0. The total CECL reserve was $131.0 million at year-end, including a $124.7 million reserve against loans. BXMT recorded a $39.9 million net decrease in the reserve during 2021 and $14.4 million in loan charge-offs. The reserve decline contributed materially to the year-over-year increase in GAAP earnings; it is excluded from Distributable Earnings under BXMT’s definition.
- Cash flow: Operating activities provided $382.5 million; investing activities used $5.6 billion, largely reflecting loan fundings; financing activities provided $5.5 billion. Cash and cash equivalents increased $263.2 million to $551.2 million.
- Debt and leverage: Year-end portfolio financing was $17.4 billion: $12.3 billion secured debt, $3.2 billion securitizations and $1.9 billion asset-specific financings. Corporate financing totaled $2.4 billion, including $1.35 billion of term loans, $400 million of 3.75% senior secured notes due 2027 and $622.5 million of convertible notes. Net debt-to-equity was 3.2x versus 2.5x in 2020; total leverage was 4.2x versus 3.6x.
- Liquidity and obligations: Reported liquidity was $1.32 billion, comprising $551.2 million cash, $754.9 million available secured borrowings and $17.5 million of net loan principal payments held by servicers. Unfunded loan commitments were $4.2 billion, with $2.5 billion of committed or identified financing, leaving $1.7 billion net unfunded. A $402.5 million convertible note matures in May 2022; another $220 million matures in 2023.
- Interest-rate exposure: 98% of investments by total exposure earned floating rates and were generally financed with floating-rate liabilities. Management says net equity is positively correlated with rising rates, subject to loan floors, financing costs and other factors. The filing’s modeled 25- and 50-basis-point rate increases show aggregate first-year net interest effects of approximately negative $4.3 million and negative $4.6 million, respectively, under its stated assumptions.
Material changes versus the prior period
- GAAP net income rose to $419.2 million from $137.7 million. Besides higher net interest income, the comparison reflects a $39.9 million CECL reserve decrease in 2021 versus a $167.7 million increase in 2020.
- Net interest income increased by $82.3 million, driven by higher prepayment income and a larger average loan balance; lower floating benchmark rates also reduced financing expense more than interest income in some periods because of loan floors.
- Loans receivable, net, grew to $21.9 billion from $16.4 billion; loan count increased to 188 from 120. Portfolio financing rose to $17.4 billion from $12.7 billion, and leverage increased.
- Book value per share increased to $27.22 from $26.42. BXMT issued 20.4 million shares for net proceeds of $638.0 million in 2021.
- Portfolio mix shifted toward multifamily and Sunbelt properties. Hospitality remained a meaningful exposure; the portfolio table reports 15% of total loan exposure in hospitality.
Outlook, management commentary and key risks
- The filing provides no specific earnings or dividend guidance. Management reported portfolio recovery and improvement in credit ratings, and said it collected all contractual interest payments due during 2021. However, one New York City hospitality loan remained on nonaccrual, with a $286.3 million outstanding principal balance and a $54.9 million specific CECL reserve.
- Management noted that the Federal Reserve was expected to raise benchmark rates multiple times in 2022. Higher rates may support asset income but can also raise borrower debt service, increase defaults or pressure property values; the timing and pass-through to BXMT’s funding costs may differ from asset repricing.
- COVID-19-related uncertainty, inflation, labor and supply constraints, and commercial real estate conditions may affect borrowers and collateral, particularly hospitality and other vulnerable property sectors. The filing cautions that further deterioration could require additional credit reserves and affect liquidity, earnings and distributions.
- Other material risks include high leverage, refinancing and funding access, margin or collateral demands, $4.2 billion of unfunded commitments, property-value and borrower-credit risk, and concentration by property type, sponsor or geography. The LIBOR transition also creates contract, pricing and asset-liability matching uncertainty; $16.8 billion of floating-rate investments and $13.5 billion of floating-rate debt had maximum maturities extending beyond 2023 and were tied to IBOR benchmarks.
- BXMT is externally managed by a Blackstone affiliate. The filing describes potential conflicts in allocating opportunities, shared investments and servicing, as well as management-fee incentives. Distributions remain at the board’s discretion and are not guaranteed. Maintaining REIT status and the Investment Company Act exclusion is also important to the business.
- Unusual credit items included troubled-debt restructurings involving a New York multifamily loan and a New York hospitality loan. The multifamily borrower contributed additional capital and changed property management; BXMT reduced the loan principal to $37.5 million, charged off $14.4 million and resumed income accrual at year-end. The hospitality loan remained on nonaccrual.
Important facts for investors to verify
- Review the composition, assumptions and subsequent performance of the $131.0 million total CECL reserve, particularly the $54.9 million reserve on the nonaccrual hospitality loan.
- Assess the sustainability of 2021 Distributable Earnings and the $2.48 annual dividend, including the effect of prepayment income and the difference between GAAP earnings, Distributable Earnings and taxable income.
- Check liquidity available after funding commitments, scheduled maturities and any changes in financing availability; focus on the $402.5 million convertible-note maturity in 2022.
- Evaluate leverage growth, borrowing costs, covenant headroom and refinancing needs, including the reported 3.2x net debt-to-equity and 4.2x total leverage ratios.
- Monitor property-type and geographic concentrations, borrower performance, and the quality of collateral valuations and loan risk ratings.
- Track LIBOR-to-SOFR/SONIA transition progress and whether asset and liability benchmarks, floors and fallback terms remain aligned.
- Consider related-party arrangements and the Manager’s fee structure, and consult the audited financial statements and notes for detailed definitions and reconciliations of non-GAAP measures.
