  • Q2 net sales were $1.500 million, down 40%; grant revenue was $0.588 million. For the first half, net sales were $3.330 million, down 39%, while grant revenue was $0.821 million.
  • First-half net loss included a $10.5 million deferred tax benefit related to the Viewpoint merger; loss before that benefit was $21.977 million.
  • Research and development expense rose to $5.653 million in Q2 and $9.510 million for the first half, largely reflecting Viewpoint’s development-stage operations. First-half G&A was $12.096 million, including approximately $4.6 million of merger-related transaction costs.
  • Cash and cash equivalents were $28.319 million at June 30, including $18.8 million of highly liquid Treasury investments classified as cash equivalents. Working capital was $23.365 million and the current ratio was 3.72.
  • First-half operating cash use was $17.795 million, compared with $4.315 million in the prior-year period. Investing activities provided $24.689 million, mainly from Treasury maturities and cash acquired with Viewpoint; financing activities provided $0.432 million. Cash, cash equivalents, and restricted cash increased $7.326 million to $28.501 million.
  • Total liabilities were $11.492 million, including $1.772 million of notes payable and $0.805 million of lease liabilities. The company reported no off-balance-sheet arrangements.

Material changes versus the prior period

  • Revenue fell 17% in Q2 and 23% for the first half. The former medical director’s practice, historically a major customer, has placed no orders since isotope supply resumed after a 2022 disruption; management cited this as a key cause of weaker prostate sales.
  • Prostate brachytherapy revenue declined 54% in Q2 and 55% year to date. Other revenue increased, supported by brain-cancer treatments including GammaTile and Viewpoint grant revenue.
  • Gross margin declined amid lower sales, higher isotope costs, and a $0.298 million write-off after the company discontinued its Blu Build loading device.
  • The merger substantially expanded the share count and balance sheet: common shares outstanding rose from 142.1 million at year-end 2022 to 280.5 million at June 30, 2023. Acquisition accounting recorded $50.0 million of in-process research and development and $27.3 million of goodwill; purchase-price allocation remained provisional.

Outlook, risks, and contingencies

  • Management stated that available cash was expected to fund its current forecast for at least 12 months from issuance of the financial statements, based on projected patient enrollment and deferral of certain pipeline and nonclinical activities. The forecast assumes may prove inaccurate; the company expects to need additional capital and anticipates it will not reach company-wide cash-flow break-even within the next three to four years.
  • Management expects expenses, particularly R&D, to increase as it advances alpha-therapy programs and integrates Viewpoint. Additional financing could dilute shareholders or require the company to limit development spending or license or relinquish rights.
  • VMT-α-NET and VMT01 were described as entering therapeutic trials, with preliminary results from initial cohorts expected by year-end 2023. The company subsequently announced that the first patient was dosed in the VMT01 Phase 1/2a trial in August 2023. Clinical, regulatory, manufacturing, enrollment, and funding outcomes remain uncertain.
  • For the six months, two customers accounted for approximately 44% of revenue; one accounted for approximately 24%. GT Medical Technologies represented 24% of Q2 sales, and management identified customer concentration and the former major customer’s lack of orders as material risks.
  • The U.S. Attorney’s Office for the Northern District of California is investigating whether payments to the former medical director may have violated the False Claims Act or Anti-Kickback Statute. The California Department of Insurance opened a substantially similar investigation; the company provided requested materials and said its internal review was ongoing.
  • The company estimated a settlement of no more than $0.2 million for stockholder claims concerning its 2022 preliminary proxy statement and recorded that liability. It also has Cesium-131 supply agreements with JSC Isotope covering shipments through March 2025.
  • No formal revenue or earnings guidance was provided. Management noted that proposed 2024 Medicare payment rates showed a slight increase for Cesium-131 brachytherapy codes; final rates were pending at the filing date.

Important facts for investors to verify

  • Whether brachytherapy sales recover, particularly whether the former major customer resumes ordering, and whether customer concentration decreases.
  • Cash use and runway against management’s assumptions, including the impact of clinical-trial spending and any financing or licensing plans.
  • Clinical progress and reported results for VMT01 and VMT-α-NET, and the timing and requirements of regulatory development.
  • Final purchase-price allocation for Viewpoint, the assumptions supporting the acquired $50.0 million IPR&D value and $27.3 million goodwill, and any subsequent impairment or accounting changes.
  • Developments in the federal and California investigations, and any related legal, financial, or operating consequences.
  • Potential dilution from the enlarged share base and approximately 50.9 million outstanding options and warrants that were excluded from diluted loss per share as antidilutive.
