Material changes versus the prior comparable period
- DTE Energy continuing-operations income attributable to the company increased $74 million, primarily from higher Gas, Energy Trading, and Corporate and Other earnings, partly offset by lower DTE Vantage earnings.
- Gas earnings increased to $196 million from $169 million, supported by new rates and favorable weather.
- Energy Trading narrowed its loss to $9 million from $55 million as higher gas prices and improved realized and unrealized trading margins more than offset operating volatility.
- DTE Vantage earnings declined to $14 million from $28 million. Revenue fell substantially following the planned closure of the reduced-emissions-fuel business, although margin improved.
- Electric earnings declined to $201 million from $208 million. Utility margin increased $49 million, but higher operation and maintenance, depreciation, and tax-related expenses more than offset the improvement.
- Operating cash flow declined $249 million at DTE Energy, primarily because of less favorable working-capital changes, lower deferred tax benefits, and lower depreciation and amortization.
- DTE Electric issued $1.136 billion of debt, including $900 million of mortgage bonds and $236 million of securitization bonds, and redeemed $250 million of mortgage bonds.

Guidance, outlook, risks, and unusual items

- DTE Energy expects lower DTE Vantage earnings in 2022 because of the reduced-emissions-fuel business closure, with longer-term growth expected from renewable energy, renewable natural gas, and industrial energy services.
- DTE Energy continues its planned coal transition and targets electric-utility carbon reductions of 32% by 2023, 50% by 2028, and 80% by 2040 from 2005 levels, with a net-zero goal for electric and gas utility operations by 2050.
- Key risks include regulatory cost recovery and rate outcomes, environmental and climate regulation, weather, commodity-price volatility, trading mark-to-market timing, inflation, interest rates, capital-market access, cyber incidents, nuclear operations, outages, labor matters, and major capital-project execution.
- DTE Energy’s trading contracts could require up to $813 million of collateral if its credit rating falls below investment grade. Energy Trading had $1.729 billion of net counterparty credit exposure after cash collateral.
- DTE Electric estimated $562 million of capital expenditures related to coal-combustion-residual and effluent-limitation requirements, including $457 million during 2022-2026.

- DTE Energy estimated maximum potential liability of $720 million under guarantees related to previously sold reduced-emissions-fuel facilities, although payments were considered remote.
- The filing states that disclosure controls and procedures were effective for both registrants, with no material changes in internal control over financial reporting.
Investor verification checklist
- Verify the final outcome and timing of DTE Electric’s $388 million rate case, including the authorized return on equity and recoverable capital investments.
- Reconcile operating cash flow with planned 2022 capital expenditures, debt maturities of approximately $2.6 billion within twelve months, and expected dividends of approximately $0.7 billion.
- Monitor DTE Energy’s leverage and liquidity relative to the 0.70-to-1 debt-to-capitalization covenant and rating-sensitive collateral requirements.
- Assess the sustainability of Energy Trading’s improved results, given mark-to-market accounting and commodity-price volatility.
- Evaluate the earnings impact of DTE Vantage’s reduced-emissions-fuel closure and the timing of replacement renewable and industrial-energy investments.
- Track environmental compliance costs, coal retirements, nuclear decommissioning assets and obligations, and unresolved Ludington and other regulatory or environmental matters.
